Councils Indemnity. The Councils shall be responsible for and shall indemnify the Contractor from and against any Liabilities at any time arising from or in connection with the carrying out of any Remediation Works or any failure to carry out the Remediation Works relating to Existing Site Contamination (including the effects of such Contamination) and in each case in accordance with this Part 4 save (in the case of escape, release or migration of Existing Site Contamination from any Existing Site) to the extent that such escape, release or migration arises or is accelerated or increased as a result of any wilful, reckless or negligent act or omission or activity of the Contractor (or its agents, representatives or employees or any sub-contractor of any tier) at any time during the Contract Period (or up to the Remediation Handback Completion Date where applicable) and to the extent that, given what it knows or which a Reasonable and Prudent Operator ought to know of the presence, location and nature of such Existing Site Contamination, it knew or acting as a Reasonable and Prudent Operator should have known that such act or omission or activity would or could reasonably be expected to result in such escape release or migration so arising or being accelerated or increased.

Upon Landlord’s request, Tenant shall at Tenant’s sole cost and expense, retain a separate attorney selected by Landlord to represent Landlord in any such suit if Landlord determines that the representation of both Tenant and Landlord by the same attorney would cause a conflict of interest provided, however, that to the extent and in the proportion that the injury or damage which is the subject of the suit is ultimately determined by a court of competent jurisdiction (or in connection with any negotiated settlement agreed to by Landlord) to be attributable to the negligence or willful misconduct of Landlord, Landlord shall reimburse Tenant for the reasonable legal fees and costs of the separate attorney retained by Tenant. The provisions of this Subsection 10.3(a) shall expressly survive the expiration or sooner termination of this Lease.

However, the Project Sponsor’s duty to indemnify and save harmless under this Section shall not apply to injuries or damage for which the Program Manager has been found in a court of competent jurisdiction to be liable by reason of its own negligence or willful misconduct. The duty of the Project Sponsor to indemnify and save harmless as set forth by this Section shall include the duty to defend as set forth in Section 2778 of the California Civil Code. In the event that, for any reason other than Program Manager’s sole misconduct, the Air District seeks return of funds already distributed to the Project Sponsor pursuant to this Agreement, the Project Sponsor shall indemnify and reimburse the Program Manager in the amount the Program Manager is required to return to the Air District under the funding Agreement between the Program Manager and the Air District. This indemnification provision will survive termination or expiration of this Agreement.
