County Release. Upon Subdivider completing all County Required Subdivision Improvements, and complying with all requirements of the [insert county name] [insert name of standards, e.g.: Xxxxxx County Standards for Construction of Streets and Drainage in Subdivisions], and upon DSD Director’s receipt of notice from the County Director to release this Agreement, the Fiscal Deposit will be released and this Agreement will be terminated. If any item is missing or incomplete, this Agreement remains in effect.

County Release. Except as provided in Paragraph IV.B, below, the County hereby irrevocably and unconditionally forever waives, releases, relinquishes, acquits, covenants not to xxx, and discharges, Xxxxxx, its predecessors, its parent corporation, Pall Corporation and its parent corporation, their subsidiaries and affiliates, and their respective current and former partners, venturers, stockholders, directors, managers, officers, legal representatives, agents, employees, successors, and assigns (collectively, the “Released Parties”) from any and all Claims that it may now or in the future have against the Released Parties in connection with the Covered Matters. Covered Matters are defined as:
County Release. For the consideration of approval and execution of the Development Agreement and the promises made herein and upon, the County forever releases and discharges Leeward and its officers, directors agents, successors, sureties, representatives, executors, attorneys, experts, employees, insurers, and assigns from any and all claims, causes of action, demands, disputes, and rights of whatever nature and kind, chaotic or inchoate, known or unknown, past or future, related to or in any way arising out of the above-captioned lawsuit and related in any way to the claims or defenses that were or could have been asserted by the County against Leeward in this litigation.

Related to County Release

  • County Data Nothing in this Agreement will be construed to waive the requirements of § 205.009 of the Texas Local Government Code.

  • County Remedies If Contractor is in breach under any provision of this Agreement and fails to cure such breach following notice and 30 days to cure as provided in §4 above, County may terminate this Agreement or any portion of this Agreement, or in its sole discretion choose one or more of the following remedies: Withhold payment to Contractor until Contractor cures its breach; or suspend Contractor’s performance, pending corrective action by Contractor, with respect to all or any portion of the Work, which may include immediate removal from the Work of any Contractor’s employees, agents or subcontractors whom County deems incompetent, careless, insubordinate, unsuitable, or otherwise unacceptable with respect to the Work. If County terminates this Agreement, Contractor shall take all actions necessary to carry-out the termination on the date specified in the termination notice and to minimize the liability of Contractor and County to third parties. All such actions shall be subject to prior approval of County and shall include, without limitation, the following: Halting performance of all services and other work under the Agreement on the date(s) and in the manner specified by County; Not placing any further orders or subcontracts for materials, services, equipment, or other items; Terminating all existing orders and subcontracts in a manner that minimizes liability to the greatest extent feasible under the circumstances; At County’s direction, assigning to County any or all of Contractor’s right, title, and interest under the orders and subcontracts terminated. Upon such assignment, County shall have the right, in its sole discretion, to settle or pay any or all claims arising out of the termination of such orders and subcontracts; Subject to County’s approval, settling all outstanding liabilities and all claims arising out of the termination of orders and subcontracts; Completing performance of any services or work that County designates to be completed prior to the date of termination specified by County; Taking such action as may be necessary, or as County may direct, for the protection and preservation of any property related to this Agreement which is in the possession of Contractor and in which County has or may acquire an interest. Contractor shall be liable to County for any damages sustained by County in connection with any breach by Contractor, and County may withhold payment to Contractor for purposes of mitigating damages and losses sustained by County in connection with any breach by Contractor.

  • Plaintiff’s Release Plaintiff and his or her respective former and present spouses, representatives, agents, attorneys, heirs, administrators, successors, and assigns generally, release and discharge Released Parties from all claims, transactions, or occurrences that occurred during the Class Period, including, but not limited to: (a) all claims that were, or reasonably could have been, alleged, based on the facts contained, in the Operative Complaint and (b) all PAGA claims that were, or reasonably could have been, alleged based on facts contained in the Operative Complaint, Plaintiff’s PAGA Notice, or ascertained during the Action and released under 6.2, below. (“Plaintiff’s Release.”) Plaintiff’s Release does not extend to any claims or actions to enforce this Agreement, or to any claims for vested benefits, unemployment benefits, disability benefits, social security benefits, workers’ compensation benefits that arose at any time, or based on occurrences outside the Class Period. Plaintiff acknowledges that Plaintiff may discover facts or law different from, or in addition to, the facts or law that Plaintiff now knows or believes to be true but agrees, nonetheless, that Plaintiff’s Release shall be and remain effective in all respects, notwithstanding such different or additional facts or Plaintiff’s discovery of them.

  • County The term COUNTY refers to the Board of County Commissioners of Lee County, a charter County and political subdivision of the State of Florida, and any official or employee duly authorized to act on the COUNTY'S behalf relative to this Agreement.

It is agreed to by the parties that the COUNTY’s Project Manager will decide all questions, difficulties, or disputes, of whatever nature, which may arise relative to the interpretation of the plans, construction, prosecution and fulfillment of the Scope of Services, and as to the character, quality, amount and value of any work done, and materials furnished, under or by reason of this Agreement. The COUNTY’s Project Manager may appoint representatives as desired that will be authorized to inspect all work done and all materials furnished.
