CPS. CPS, carrier pre-selection, is the routing of your calls through a carrier other than BT. Your phone line(s) are still maintained by BT engineers but the calls are carried on another network. We may select and at any time charge any carrier or other service provider for the purposes of providing CPS. You herby irrevocably authorise us to give all notices, nominations and other authorisations necessary for us to provide the CPS service.

CPS. Should any of the provisions of this Agreement contradict with the provisions of the Certificate Policy and Certification Practices Statement (the “CPS”) set out at xxxxx://xxxxx.xxxxxxxxxxx.xxx/CA/, the CPS shall prevail. As regards to liability issues, Viking Cloud cannot accept any liability other than that recognized in the CPS that governs the use of the services of Viking Cloud.
CPS. Should any of the provisions of this Agreement contradict with the provisions of the CPS of Trustwave, the CPS shall prevail. As regards to liability issues, Trustwave cannot accept any liability other than that recognized in the Trustwave CPS (Certification Practice Statement) xxxxx://xxx.xxxxxxxxx.xxx/CA that governs the use of the services of Trustwave.
CPS. Carrier Select and Carrier Preselect service where Ziggo processes the whole or part of the outgoing voice traffic of a KPN connection of the Customer; - Optionally with cost center allocation Ziggo shall select, to the best of its knowledge, the most suitable underlying access technology for all Services in order to be able to deliver the largest possible reliable and optimal performances (this may regard glass fibre, copper, coax or another technology). Ziggo uses two service levels, Corporate and Broadband Connection, to connect the Location of the Customer to the infrastructure of Ziggo. The service level also depends on the selected connection technique. The Customer should personally render a copper connection line available for each Connection (at the discretion of Ziggo) of the Broadband Connection type without services (of third parties) being delivered on the same unless a New Line Service (NLS) is requested in the Service Order. The Customer is responsible for keeping this connection line available during the Service Term. The request for an NSL regards an obligation of best intents on the part of Ziggo. If only an NLS Type 3 appears to be available Ziggo cannot deliver this and the Customer should personally take care of an NLS connection line. With regard to the Service in question for which the NLS Type 3 is required article 4.3 of the General Terms and Conditions of Ziggo equally applies. If the Delivery of Services requires a coaxial connection it also applies that the Customer shall be responsible for the timely availability and preservation of the same during the Service Term.

CPS. End User acknowledges and agrees that CenTrak may require Reseller and/or End User to install the End User on site component of the CPS, the “Onsite CPS”, with full access to CenTrak to ensure proper maintenance, to maintain the validity of CenTrak warranties and to optimize usage of the CenTrak Products. End User acknowledges that any CenTrak System Maintenance Agreement, Technical Support and/or Warranty obligations to Reseller or End User may not apply to CenTrak Products for which the CPS is not properly installed and utilized. In addition, if CenTrak receives timely payment on an ongoing basis for SMA fees, the Onsite CPS shall be installed (provided that, should SMA not be timely paid for, the Onsite CPS shall be uninstalled and End User will have no rights to the CPS). The CPS shall be subject to all restrictions applicable to Licensed Software, including but not limited to those in this Section 3.
CPS. The parties hereto agree that nothing contained in this Agreement is intended (i) to limit or restrict CPS' right to label or use its trademarks, service marks, logos and trade names in any manner necessary to maximize the growth of its business, or (ii) to amend or modify any term or provision of the Joint Venture Agreement or the rights of the parties thereunder. With respect to the CPS Products shipped with the Siemens logo or under the Siemens brand, CPS agrees that it will not also place a CPS logo on the equipment, other than the CPS manufacturer label on the lower right rear corner, without the prior approval of Siemens. For purposes of this Agreement, the parties agree that CPS shall not be considered an "affiliate" of either CTI or Siemens, but shall be deemed an independent business enterprise subject to the oversight and control of its Board of Directors and the terms of the Joint Venture Agreement.

CPS. (a) WPC's access to CPS will be restricted to specific CPS functions and information previously used by Xxxxxx Petroleum Company immediately prior to the date hereof and which are necessary to the performance of the Contracts. (b) To the extent it becomes necessary for CPC to modify CPS to restrict WPC's access to information and functions as set forth in the preceding subparagraph, WPC and CPC shall mutually agree upon whether such costs should be incurred and any such costs shall be shared equally by WPC and CPC. (c) The parties hereto acknowledge that Xxxxxx Petroleum Company has never been charged for its use of CPS and, in the future, will not be charged for same as long as the type and amount of WPC's use of such database system is consistent with the previous practices of Xxxxxx Petroleum Company. In the event the type and amount of WPC's use of CPS exceeds the previous activities of Xxxxxx Petroleum Company, the Operating Committee will determine the fair and reasonable rates that WPC should pay for such excess use. (d) WPC will not require CPC to provide advance notification of any changes to CPS unless such changes will materially affect WPC's access to CPS and/or the functions and information to which WPC needs to carry on its business. (e) WPC and CPC acknowledge that any changes to CPS specific to WPC's needs will be mutually agreed to by the parties. (f) To the extent WPC requires CPS training, such training will be conducted on CPC's premises and will be for WPC's account.
CPS. All other software upgrades will be chargeable. With return-to-base warranty options, CPS or its authorised service provider may elect to make an on-site visit if CPS decides that this is the most economic solution for CPS. This option is discretionary and not obligatory. 5.2 DURING THE PROVISION OF THE SERVICES, CPS OR CPS’S SERVICE PROVIDER SHALL ONLY EMPLOY REPAIR TECHNIQUES & PROCEDURES THAT ARE RECOMMENDED BY THE MANUFACTURER AND THESE TECHNIQUES AND PROCEDURES WILL ONLY BE UNDERTAKEN BY PROFICIENT AND COMPETENT
