Current Business. The VL Group operates businesses in the cable and telecommunications industry, including on-line internet services, telephony, and the sale and rental of videocassettes, or anything related or ancillary thereto
Current Business. Except as set forth on Schedule 5.22, no member of the TexStar Group has engaged in any material business activity other than the TexStar Business.
Current Business. The Company shall, and shall cause its Subsidiaries to, continue to engage in the Permitted Business substantially carried on by it and shall not engage in any other line of business other than the Permitted Business.

Borrower shall (i) engage only in the business it currently provides, (ii) maintain all of its material properties, assets and equipment used or useful in its business in good repair, working order and condition (normal wear and tear excepted and except as may be disposed of in the ordinary course of business and in accordance with the terms of the Loan Documents and otherwise as determined by Borrower using commercially reasonable business judgment), (iii) from time to time to make all necessary or desirable repairs, renewals and replacements thereof, as determined by Borrower using commercially reasonable business judgment, (iv) maintain and keep in full force and effect its existence and all material Permits and qualifications to do business and good standing in each jurisdiction in which the ownership or lease of property or the nature of its business makes such Permits or qualification necessary; and (v) remain in good standing in the jurisdiction of its organization.
Current Business. Engage in or permit any of its Subsidiaries to engage in any business other than the businesses currently engaged in by Borrower or reasonably related thereto.
Current Business. Except as set forth on Schedule 7.22, no member of the SXE Group has engaged in any material business activity other than the SXE Business.
Current Business. On the Termination Date, in consideration of the purchase and sale of (i) Distributor’s current service contracts for the Products (“Sonastar Contracts”), customer list and customers currently evaluating the Products all with respect to the sale and servicing of the Products (the “Customer List”) and (ii) the Sale Rights, Misonix shall pay Distributor $800,000 (the “Current Business Amount”) by wire transfer of immediately available funds and pursuant to written wire transfer instructions delivered by Distributor to Misonix. Misonix shall assume all rights, responsibilities and obligations pursuant to and under the (i) Sonastar Contracts and Customer List and (ii) the Sale Rights, including without limitation, the sale of accessory Products and servicing and training of the Products to the customers with Sonastar Contracts (the “Sonastar Customers”). A list of the (i) Sonastar Contracts, (ii) the Customer List and (iii) sales history setting forth the location of all Sonastar systems and the prices paid by each customer for disposable Products is attached as Exhibit 1 hereto. Distributor will provide Misonix with true and complete copies of all Sonastar Contracts promptly after the execution of this Termination Agreement.
