Customer as Processor. Where Customer is itself a processor of Customer Data: (A) Customer represents and warrants to Everlaw that the processing instructions in this DPA reflect and do not conflict with the instructions of the third party controllers; and (B) Customer will serve as the sole point of contact for Everlaw with regard to any such third parties.
Customer as Processor. Where Customer is a Processor, Customer warrants that its Processing Instructions as set out in the Agreement and this DPA, including its authorizations to XtendLive for the appointment of Subprocessors in accordance with this DPA, have been authorized by the relevant Controller. Customer shall be solely responsible for forwarding any notifications received from XtendLive to the relevant Controller where appropriate.
