Customers Records. The Seller hereby undertakes to deliver on the Closing Date to the Purchaser a complete list a electronic media of all Customers Records as of the Closing Date which are sold, assigned, conveyed and transferred by the Seller to the Purchaser pursuant to this Agreement.
Customers Records. The Agreement and the Automated Sweep Service are not intended to relieve Customer of any obligation imposed by law or contract regarding the maintenance of records or from employing adequate audit, accounting and review practices. Except as otherwise stated in the Agreement, Customer agrees to retain and provide to Banc, upon request, all information necessary to remake or reconstruct any transmission until one year following receipt by Banc of the transmission affecting an account.
