Deadline for Execution. The offer under this Agreement will expire at the close of business on March 14, 2022, if the Company has not received Executive’s signed Agreement and Confidential Information Agreement by that date.

Payments and benefits shall be accelerated if the Agreement requirements are satisfied prior to the thirtieth (30th) day following the termination of the Executive’s employment with the Company, but only if and to the extent that such payments and benefits are not subject to Code Section 409A.
