Debts of Owner. In the performance of its duties as Manager, Manager shall act solely on behalf of Owner in Manager's capacity as an independent contractor. All debts and liabilities to third persons incurred by Manager pursuant to this Agreement and in the course of its operation and management of the Project shall be the debts and liabilities of Owner only, and Manager shall not be liable for (and is hereby indemnified with respect to) any such debts or liabilities, except to the extent Manager has exceeded its authority hereunder. Manager shall have no responsibility to make payments on any indebtedness incurred directly by Owner whether or not secured by the Project or any portion thereof. Without limiting the provisions of Section 6.03 of this Agreement, RREM shall indemnify, defend, protect and hold Manager harmless for, from and against any loss, liability, cost, expense, damage claim or cause of action, including, but not limited to attorneys’ fees, court costs and other litigation expenses and costs, arising from any debt, liability or payment for which Manager is being exculpated pursuant to this Section 2.10. The indemnification obligation of RREM in this Section 2.10 shall survive the expiration or earlier termination of this Agreement.

All debts and liabilities to third persons incurred by Manager in the course of its operation and management of the Project shall be the debts and liabilities of the Owner only, and Manager shall not be liable for any such debts or liabilities.
Debts of Owner. In the performance of its duties as managing Agent of the Property, Agent shall act as the agent of the Owner. All debts and liabilities to third persons and Employees of the Property incurred by Agent in the course of its operation and management of the Property shall be the debts and liabilities of the Owner only, and Agent shall not be liable for any such debts or liabilities, except to the extent Agent has exceeded its authority hereunder.
Debts of Owner. In the performance of its duties as Manager, -------------- Manager shall act solely on behalf of Owner in Manager's capacity as an independent contractor. Except as provided in Section 2.1, all debts and liabilities to third persons incurred by Manager (which are consistent with the terms and conditions of this Agreement), in the course of its operation and management of the Project shall be the debts and liabilities of the Owner only, and Manager shall not be liable for (and is hereby indemnified in respect of) any such debts or liabilities, except to the extent Manager has exceeded its authority hereunder.
Debts of Owner. All costs, expenses, debts and liabilities owed to third persons and employees of the Property incurred by Property Manager pursuant to the terms of this Agreement and in the course of its operation and management of the Property shall be fully and promptly reimbursed by Owner to Property Manager as herein provided.

Subject to the terms and conditions of this Agreement, all debts and liabilities to third persons incurred by Manager pursuant to and in compliance with this Agreement in the course of its operation and management of the Project shall be the debts and liabilities of the Owner only, and Manager shall not be liable for (and is hereby indemnified in respect of) any such debts or liabilities, except to the extent Manager has exceeded its authority under this Agreement or such debts and liabilities were not incurred pursuant to or in compliance with this Agreement. Manager shall have no responsibility to make payments on any indebtedness of Owner secured by the Project or any portion thereof.
Debts of Owner. In the performance of its duties as Manager, Manager shall act on behalf of Owner solely in Manager’s capacity as Owner’s agent as specifically set forth in this Agreement. All debts and liabilities to third parties incurred by Manager pursuant to this Agreement and in the course of its operation and management of the Project shall be the debts and liabilities of Owner, and Manager shall not be liable for (and is hereby indemnified with respect to) any such debts or liabilities except to the extent caused by the gross negligence or willful misconduct of Manager or the Project Employees. Manager shall have no responsibility to make payments with Manager’s funds on any indebtedness incurred by Owner whether or not secured by the Project or any portion thereof.

Manager shall have no responsibility to make payments on any indebtedness of Owner secured by the Project or any portion thereof.
Debts of Owner. Except as otherwise expressly provided herein, in the performance of its duties as Manager, Manager shall act solely as an independent contractor of the Owner. Except where Manager is expressly acting herein as the agent for Owner, neither Manager nor Owner shall represent to any other person or entity that Manager’s relationship to Owner hereunder is other than that of an independent contractor.
Debts of Owner. In the performance of its duties as property manager, Manager shall act on behalf of Owner solely in Manager’s capacity as Owner’s agent as specifically set forth in this Agreement. All debts and liabilities to third parties incurred by Manager pursuant to this Agreement and in the course of its operation and management of the Property shall be the debts and liabilities of Owner, and Manager shall not be liable for (and is hereby indemnified with respect to) any such debts or liabilities except to the extent caused by the gross negligence or willful misconduct of Manager or the Property Employees; provided, however, Manager shall not be deemed to be in default under this Agreement as a result of any such actions on the part of a Property Employee, unless Manager fails to take appropriate actions to address any such action by a Property Employee. Manager shall have no responsibility to make payments with Manager’s funds on any indebtedness incurred by Owner whether or not secured by the Property or any portion thereof. Manager shall not be obligated to advance any of its own funds to or for the account of Owner, or to incur any liability unless Owner shall have furnished Manager with funds necessary for the discharge thereof. If Manager advances any additional funds in payment of an expense in the maintenance or operation of the Property which was included in the Budget, constitutes a reimbursable expense, was authorized by Owner, or is an obligation of Owner under this Agreement, Manager shall have the right to withdraw such amounts from the Depository Account or Owner shall reimburse Manager within thirty (30) days after Owner’s receipt of itemized invoices or bills therefor.
