Declaration Estoppel. One (1) executed original copy of the Declaration Estoppel (unless the Declaration Estoppel is waived by Purchaser).
Declaration Estoppel. Seller shall have obtained and delivered to Purchaser, at least one (1) business day prior to the Closing Date (and promptly following receipt of same), a written estoppel certificate from the “Designated Grantor” under the Declaration of Covenants, Conditions, and Restrictions dated November 12, 1993 and recorded November 15, 1993 at Deed Book 9588, Page 263, Gwinnett County, Georgia records, as amended (as so amended, the “Declaration”), in substantially the form attached hereto as Exhibit Q (the “Declaration Estoppel”).
Declaration Estoppel. Seller and TBLHAII shall have executed and delivered to Buyer an estoppel addressed to Buyer to the effect set forth in Section 21 of the Declaration.
Declaration Estoppel. Seller shall have caused Xxxxxxxx II to have delivered to Purchaser or the Escrow Agent an estoppel certificate providing, in accordance with Section 35(l) of the Declaration: (A) that the Declaration has not been amended except as disclosed in this Agreement and by the Second Amendment to Declaration, (B) that no default exists under the Declaration with respect to Xxxxxxxx II or, to Xxxxxxxx II’s knowledge, with respect to the Lot A Owner (as that term is defined in the Declaration), and (C) that no offset, defense or counterclaim exists under the Declaration with respect to Xxxxxxxx II, or, to Xxxxxxxx II’s knowledge, with respect to Lot A Owner.
Declaration Estoppel. Seller shall have delivered an estoppel certificate in the form of Exhibit K attached hereto from the Association under that certain Declaration of Covenants, Conditions, Easements and Destinations for Northpark Town Center, dated December 30, 1997, as amended by the First Amendment dated January 15, 2004 (as amended, the “Declaration”).
Declaration Estoppel. Seller shall use commercially reasonable efforts to obtain an estoppel from the Pacific Corporate Center – North Owners’ Association pursuant to that certain Declaration of Covenants, Conditions and Restrictions for Xxxxx 0, 0, 0 xxx 0 xx Xxxxxxx Corporate Center, in the form attached hereto as Exhibit P (the “Declaration Estoppel”). Seller’s failure to obtain the Declaration Estoppel shall not be a default on the part of Seller nor shall it be a condition precedent to Closing.
Declaration Estoppel. That Seller shall have obtained an estoppel certificate from the Goodyear Crossing Industrial Park Owners Association, Inc. indicating that (i) no fees or assessments levied against the Property are unpaid (or, if unpaid, the amount thereof) and (ii) to the knowledge of the certifying party, the Property is not in violation of the Declaration of Protective Covenants, Conditions, Restrictions and Easements for Goodyear Crossing Industrial Park.
Declaration Estoppel. Seller shall use commercially reasonable efforts to obtain an estoppel from the declarant or such other responsible party under the Declaration in form and substance reasonably acceptable to Buyer confirming there are no assessments due and owing, and no defaults under, the Declaration, and such other detail as Buyer shall reasonably request (the “Declaration Estoppel”).
