DEDICATED CAPACITY. (Insert information from the NTCRSWTP study in here) 7.3.1. Upon Completion of Construction of the Initial Project Facilities, each Project Participant shall be entitled to exclusive use of the Dedicated Capacity in the Project Facilities as set forth in engineering study (insert information here) without regard to whether the Project Participant actually uses such facilities for the delivery of water. The daily flow limits in the table below are based on an Initial Project Facilities capacity of xx mgd. The actual total capacity of the as-built Regional Water Treatment Facility will be rated by the State Water Resources Control Board following required testing of the plant construction. If the total rated daily flow limit capacity differs from the total daily flow limit amount presented in the table below, then each Project Participant’s daily flow limit shall be adjusted accordingly and proportionately based on the percentage shares. 7.3.2. If the Agency expands the Project Facilities to produce greater than xx mgd, then the foregoing daily flow limits in mgd as well as the corresponding percentages shall be adjusted as determined by the Board; however, the quantity (mgd) of Dedicated Capacity allocated to each party and the annual limit for each party shall not be increased without its written consent (i.e., if a party chooses not to consent to and participate in a Project expansion, then its Dedicated Capacity and annual limit would remain fixed and its percentage share of the expanded Project would be reduced accordingly or the percentages may be revised by written agreement between the Parties to reflect a different basis for calculation).

DEDICATED CAPACITY. Subject to Sections 6 and 9 and the other terms hereof, during the Term Multitrade will make available to DuPont at the Point of Delivery on a daily 24-hour basis at least 40,000 pounds per hour of dry saturated steam at pressures to be specified by DuPont up to 150 PSIG (the "Dedicated Capacity").
DEDICATED CAPACITY. (A) Commencing on January 1, 2011, Red Bud shall make available to IMEA for use by IMEA and IMEA shall take delivery from Red Bud of the Dedicated Capacity of each of Red Bud’s Generating Facilities. (B) The electrical output of the Dedicated Capacity shall be delivered to IMEA at Red Bud’s Points of Delivery. (C) Neither IMEA nor Red Bud shall be responsibility for the transmission, control, use or application of electric power provided under this Agreement on the other Party’s side of the Point of Delivery therefor and shall not, in any event, be liable for damage or injury to any person or property whatsoever arising, accruing, or resulting from, in any manner, the receiving, transmission, control, use, application, or distribution by IMEA or Red Bud of said electric power. (D) IMEA will not schedule the operation of Red Bud’s Generating Facilities at levels less than the minimum operating capacity of such Generating Facilities established in accordance with the provisions of Section 5(A) hereof. (E) The payment for Dedicated Capacity, Dedicated Capacity operation, dispatch and the treatment of dedicated co-generation capacity under this agreement shall be in accordance with the provisions of Attachment J which is attached hereto and incorporated herein by reference.

  • Contract Capacity The electric power producing capability of the Generating Facility which is committed to Edison.

  • Power and Capacity The Shareholder has the power, authority and capacity to enter into this Agreement and to consummate the transactions contemplated hereby. This Agreement constitutes the Shareholder’s valid, legal and binding obligation and is enforceable against the Shareholder in accordance with its terms, subject, however, as to enforcement, to bankruptcy, insolvency, fraudulent transfer, moratorium and similar laws of general applicability relating to or affecting creditors’ rights;

Notwithstanding the foregoing, following the Separation, it is understood that the Executive will work with the PubCo Board to select a suitable headquarters and may work from any location he deems appropriate. 2.2 The Executive shall report directly to, and be subject to the supervision of, the “Company Board”, and shall have such authority as is delegated to the Executive by the Company Board, which shall include responsibility for the day-to-day operations of the Segment and the entire Outdoor Products brand portfolio. The Executive will be appointed to serve as a non-independent member of the Company Board. During the Employment Period, the Company will continue to nominate the Executive to be elected as a member of the Company Board. The Executive hereby accepts employment as Chief Executive Officer and agrees to undertake the duties and responsibilities inherent in such position and such other duties and responsibilities as the Board shall from time to time reasonably assign to the Executive. The Executive agrees to devote his entire business time, attention and energies to the business and interests of the Company during the Employment Period; provided that nothing herein shall preclude Executive, in each case to the extent that such activities do not materially interfere with the performance of the Executive’s duties under this Agreement and are not otherwise in conflict with the reasonable business interests of the Company, from (x) managing Executive’s personal and family investments and affairs, (y) engaging in charitable activities and community affairs, and (z) subject to the prior approval of the Company Board (which approval shall not be unreasonably withheld) and compliance with any applicable Company policies for outside Board memberships, such as the Company’s overboarding policy, accepting appointment to or continuing to serve on any board of directors or trustees of any business, corporation, or charitable organization. The Executive agrees to abide by the rules, regulations, instructions, personnel practices and policies of the Company and any changes therein which may be adopted from time to time by the Company to the extent provided to the Executive or the Executive is otherwise made aware of them. Following the Separation, the Executive shall instead (i) serve as chief executive officer of PubCo with the same authorities and responsibilities as Chief Executive Officer described herein and (ii) report directly to, and be subject to the supervision of, the “PubCo Board” and be appointed to and subsequently nominated for election to the PubCo Board on the same basis described herein. The Executive acknowledges that, prior to the Separation, he will report to the Company Board alongside the Interim Chief Executive Officer of the Company and the Chief Executive Officer of the Company’s Sporting Products Segment.
