Deferral of Non-Deductible Compensation. In the event that the Employee's aggregate compensation (including compensatory benefits which are deemed remuneration for purposes of Section 162(m) of the Internal Revenue Code of 1986 as amended (the "Code")) from the Company and the Consolidated Subsidiaries for any calendar year exceeds the greater of (i) $1,000,000 or (ii) the maximum amount of compensation deductible by the Company or any of the Consolidated Subsidiaries in any calendar year under Section 162(m) of the Code (the "maximum allowable amount"), then any such amount in excess of the maximum allowable amount shall be mandatorily deferred with interest thereon at 8% per annum, compounded annually, to a calendar year such that the amount to be paid to the Employee in such calendar year, including deferred amounts and interest thereon, does not exceed the maximum allowable amount. Subject to the foregoing, deferred amounts including interest thereon shall be payable at the earliest time permissible. All unpaid deferred amounts shall be paid to the Employee not later than his Date of Termination unless his Date of Termination is on a December 31st, in which case, the unpaid deferred amounts shall be paid to the Employee on the first business day of the next succeeding calendar year. The provisions of this subsection shall survive any termination of the Employee's employment and any termination of this Agreement.

Subject to the foregoing, deferred amounts including interest thereon shall be payable by the Parent at the earliest time permissible.

Subject to the foregoing, deferred amounts including interest thereon shall be payable at the earliest time permissible. Deferred amounts under this Section 18 shall be paid during the first taxable year during which it is determined that Section 162(m) of the Code would not apply to defer the payment, or as required under Section 409A.

Deferral of Non-Deductible Compensation. (i) The Executive agrees that all compensation, except the Initial Option Grant, the Initial Restricted Stock Unit Grant, and his guaranteed 2001 minimum bonus under the Annual Bonus Program, shall be subject to Employer's compensation deferral policy which requires that the Executive defer receipt of compensation in excess of $1 million that is not deductible for federal income tax purposes in any given taxable year to the taxable year in which such compensation would be deductible by Employer (unless Executive has elected to continue deferral to a later date under an applicable deferred compensation plan). (ii) The Initial Option Grant, the Initial Restricted Stock Unit Grant, and Executive's guaranteed 2001 minimum target bonus under the Annual Bonus Program shall not be subject to such Employer compensation deferral policy, except as Employer and Executive agree at least 180 days prior to the date any such amount becomes due and payable to Executive, to defer such payment in accordance with such policy.
Deferral of Non-Deductible Compensation. In the event that the Executive's aggregate compensation (including compensatory benefits which are deemed remuneration for purposes of Code Section 162(m)) from the Company and its Affiliates for the 2018 calendar year exceeds the maximum amount of compensation deductible by the Company or any of the Consolidated Subsidiaries in any calendar year under Code Section 162(m) (the “maximum allowable amount”), then any such amount in excess of the maximum allowable amount shall be mandatorily deferred under the Deferred Compensation Plan, with interest thereon at four percent (4%) per annum and shall be distributed to the Executive in the first calendar year that such amount can be paid to the Executive without causing a loss of deduction to the Company. Subject to the foregoing, deferred amounts including interest thereon shall be payable at the earliest time permissible, as required by Section 409A.
