Deliverables Ownership. RapidRatings may provide Customer with Deliverables during the performance of the Professional Services, such as training materials, periodic status reports, or other reports. RapidRatings Professional Services do not include any custom, configuration, or design Deliverables for Customer. No enhancements or improvements to the RapidRatings Subscription Services are committed or implied during the performance of the Professional Services. RapidRatings, including RapidRatings licensors, own all intellectual property rights in and to the Deliverables. RapidRatings hereby grants Customer a limited, revocable, non-exclusive, non-transferable, non- sublicensable right for the Subscription Term to access and use the Deliverables as set out herein for Customer’s confidential internal business purposes with the Subscription Services. Customer’s access and use of the Deliverables under this Section 3 only extends only to the number of Users described in the applicable Order Form and to a reasonable number of copies of the Deliverables.

Deliverables Ownership. The Contractor is responsible for providing all deliverables as outlined in this Agreement. All reports, deliverables, materials, and other work (collectively "Work") prepared and developed by the Contractor as part of this Agreement are works for hire and will become HCC's sole property at completion of this Agreement unless otherwise indicated in Agreement. This provision does not apply to artistic performances, speeches, or presentations.

  • Software Ownership Upon request, the State and all appropriate federal agencies shall receive a royalty-free, nonexclusive, and irrevocable license to reproduce, publish, or otherwise use, and to authorize others to do so, all application software produced in the performance of this Agreement, including, but not limited to, all source, object, and executable code, data files, and job control language, or other system instructions. This requirement applies only to software that is a specific deliverable under this Agreement, or is integral to the program or service funded under this Agreement, and is primarily financed with funding provided under this Agreement.

  • Customer Ownership Customer owns and has sole responsibility for the accuracy, quality, integrity, and appropriateness of all original data, content and information provided to Xxxxxx Xxxxxxx in conjunction with the Services, and, when paid for, Customer will own all modified content and information as specified under the SOW (collectively the “Content,” which, together with the Customer’s trademarks or logos, are referred to as the “Customer Material).”

  • Interconnection Product Options Interconnection Customer has selected the following (checked) type of Interconnection Service:

  • Data Ownership BA acknowledges that BA has no ownership rights with respect to the Protected Information.

  • Work Product Ownership All products of the Contractor’s work, including outlines, reports, charts, sketches, drawings, art work, plans, photographs, specifications, estimates, computer programs, or similar documents become the sole property of the State of Vermont and may not be copyrighted or resold by Contractor.

  • Third Party Ownership If the Work Product created by Grantee under this Grant is a derivative work based on Third Party Intellectual Property, or is a compilation that includes Third Party Intellectual Property, Grantee must secure an irrevocable, non-exclusive, perpetual, royalty-free license allowing Agency and other entities the same rights listed above for the pre-existing element of the Third party Intellectual Property employed in the Work Product. If state or federal law requires that Agency or Grantee grant to the United States a license to any intellectual property in the Work Product, or if state or federal law requires Agency or the United States to own the intellectual property in the Work Product, then Grantee must execute such further documents and instruments as Agency may reasonably request in order to make any such grant or to assign ownership in such intellectual property to the United States or Agency.

  • Creative Commons Attribution-Non-Commercial-NoDerivs License The Creative Commons Attribution Non-Commercial-NoDerivs License (CC-BY-NC-ND) permits use, distribution and reproduction in any medium, provided the original work is properly cited, is not used for commercial purposes and no modifications or adaptations are made.
