At the Closing, each Seller shall deliver all of its respective Repurchase Shares to the Company through executing and delivering such assignments, consents, and other transfer documents and instruments as shall be necessary in the reasonable judgment of the Company to evidence the assignment, transfer, conveyance and delivery of such Repurchase Shares to the Company.

(a) At the Closing, the Sellers shall deliver to Purchaser an executed Assignment and Assumption of Limited Liability Company Interest Agreement in substantially the same form as Exhibit A hereto. (b) At the Closing, the Sellers shall also deliver to the Purchaser certificates executed by officers of the Sellers authorized to so certify on behalf of the Sellers, to the effect that all of the representations and warranties of the Sellers contained herein at Article II are true and correct as of the Closing Date.
