Delivery of Official Statement Continuing Disclosure. (a) The Authority and the City have delivered or caused to be delivered to the Underwriter prior to the execution of this Bond Purchase Agreement, copies of the preliminary official statement with respect to the Bonds, dated , 2019 (the “Preliminary Official Statement”). Such Preliminary Official Statement is the official statement deemed final by the Authority and the City for purposes of Rule 15c2-12 under the Securities Exchange Act of 1934 (the “Rule”) and approved by the Authority and the City for distribution by the Underwriter by the Authority Resolution and the City Resolution (as defined herein). As authorized by the Authority Resolution and the City Resolution, the Authority and the City hereby ratify and confirm their authorization of the use by the Underwriter before the date hereof of the Preliminary Official Statement.

Delivery of Official Statement Continuing Disclosure. Under the authorization of the District, the Purchaser has distributed copies of the Preliminary Official Statement to prospective purchasers of the Certificates. By its acceptance of this proposal, the District hereby ratifies such use by the Purchaser of the Preliminary Official Statement; and the District agrees to approve the Final Official Statement which will consist of the Preliminary Official Statement with such changes as may be made thereto, with the approval of the District and the Purchaser, and to provide copies thereof to the Purchaser as set forth in Section 6. The Purchaser hereby agrees to deposit the Official Statement with a nationally recognized municipal securities information depository. The District hereby authorizes the Purchaser to use and distribute, in connection with the offer and sale of the Certificates, the Preliminary Official Statement, the Official Statement, the Trust Agreement, the Lease Agreement, the Site Lease, the Assignment Agreement, the Continuing Disclosure Certificate (as defined below) and this Purchase Contract and all information contained herein, and all other documents, certificates and statements furnished by the District to the Purchaser in connection with the transactions contemplated by this Purchase Contract. The District will undertake, under the Trust Agreement and a Continuing Disclosure Certificate (the “Continuing Disclosure Certificate”), to provide certain annual financial and operating information and notices of the occurrence of certain events. A description of such undertaking is set forth in the Preliminary Official Statement and will also be set forth in the final Official Statement.

  • Continuing Disclosure The Creditor may be required to provide you with regular statements. The statements will give you information about your account. Statements will be provided every six months if required. What Could Happen if You Fail to Meet Your Commitments: Security interestThe Creditor has an interest in the property listed below to secure performance of your obligations under the contract, or the payment of money payable under the contract, or both. If you fail to meet your commitments under the contract, including by granting a security interest over this property to another person, then to the extent of the security interest, the Creditor may be entitled to repossess and sell this property.   • Official Statement So long as any Bond Letter of Credit shall remain outstanding, refer to the applicable LC Issuing Bank in the Official Statement with respect to the applicable Bonds or make any changes in reference to such LC Issuing Bank in any revision, amendment or supplement without the prior consent of such LC Issuing Bank, or revise, amend or supplement such Official Statement without providing a copy of such revision, amendment or supplement, as the case may be, to such LC Issuing Bank.

  • Confidentiality and Disclosure of Offering Materials by Potential Investor Potential Investor acknowledges on behalf of itself and any and all Related Parties that the Offering Materials are considered confidential and proprietary information of Owner and/or HFF, and Potential Investor will not make (or cause or permit any Related Party to make) any Offering Materials available, or disclose any of the contents thereof, to any person without Owner’s or HFF’s prior written consent; provided, however, that the Offering Materials may be disclosed to the Potential Investor’s Representative (if any), the Potential Investor's partners, employees, legal counsel, advisors, institutional lenders and other capital sources (collectively the "Related Parties") as reasonably required for an evaluation of the Property.   • WHO WILL REVIEW THE INFORMATION DISCLOSED ON THE RELATIONSHIP DISCLOSURE FORM AND ANY UPDATES? The information disclosed on this form and any updates will be a public record as defined by Chapter 119, Florida Statutes, and may therefore be inspected by any interested person. Also, the information will be made available to the Mayor and the BCC members. This form and any updates will accompany the information for the applicant’s project or item. However, for development-related items, if an applicant discloses the existence of one or more of the relationships described above and the matter would normally receive final consideration by the Concurrency Review Committee or the Development Review Committee, the matter will be directed to the BCC for final consideration and action following committee review.
