Depositor Responsibilities. (a) Depositorshall provide all information designated as required to fulfill a Work Request (“Required Information”) and may also provide other information (“Optional Information”) at their discretion to assist Iron Mountain in the fulfillment of requested Services. (b) Depositor must authorize and designate one or more persons whose action(s) will legally bind the Depositor (“Authorized Person(s)” who shall be identified in the Authorized Person(s)/Notices Table of this Agreement) and who may manage the Iron Mountain escrow account through the Iron Mountain Website or via written Work Request. Authorized Person(s) will maintain the accuracy of their name and contact information provided to Iron Mountain during the Term of this Agreement (the “Depositor Information”). (c) Depositor shall make an initial deposit that is complete and functional of all proprietary technology and other materials covered under this Agreement (“Deposit Material”) to Iron Mountain within ninety (90) days of the Effective Date. Depositor may also update Deposit Material from time to time during the Term of this Agreement provided a minimum of one (1) complete and functional copy of Deposit Material is deposited with Iron Mountain at all times. At the time of each deposit or update, Depositor will provide an accurate and complete description of all Deposit Material sent to Iron Mountain via the Iron Mountain Website or using the form attached hereto as Exhibit B. (d) Depositor consents to Iron Mountain’s performance of any level(s) of verification Services described in Exhibit A attached hereto, consents, upon receipt of notice from Iron Mountain that Beneficiary has submitted a Work Request for verification Services, to promptly completing and returning the Escrow Deposit Questionnaire attached as Exhibit Q to Iron Mountain, and further consents to Iron Mountain’s use of a subcontractor (who shall be bound by the same confidentiality obligations as Iron Mountain and who shall not be a direct competitor to either Depositor or Beneficiary) to provide such Services as needed. (e) Depositorrepresents that it lawfully possesses all Deposit Material provided to Iron Mountain under this Agreement. Depositor Responsibilities. As the depositor named on the signature card you have signed, or will sign, you indicate your promise to be bound by this agreement and any subsequent amendments to the agreement. This agreement shall control should any differences or disputes arise concerning your account with the Bank. If any provision of this agreement is determined by a court of competent jurisdiction to be invalid, the remaining provisions shall not be affected and shall remain in force. If this agreement is revised due to changes in the law or Bank policy, a copy of the new agreement will be made available to you. You must notify us immediately if any of your encoded deposit slips, withdrawal slips or checks are lost or stolen. If you believe these items have been lost or stolen, we will request you close your account and open a new account. You agree to exercise reasonable care and prudence in all account transactions. The bank shall not be liable to you for any loss incurred by you in connection with the account, other than liabilities imposed by law. You will bear any loss arising from the failure to properly endorse and identify the account by name and number on any deposit instrument and you shall maintain a record identifying each item deposited and withdrawn from the account. You must exercise reasonable care and promptness in examining the statement and items to discover any error, unauthorized signature, forgery or any alteration on an item and must notify the Bank within fourteen (14) days after receipt of the statement. The Bank shall not be held liable for losses which result from your failure to safeguard checks, access cards, and Personal Identification Numbers, except to the extent required by law. Statements and other correspondence will be mailed to you at the last known address according to Bank records. It is your responsibility to notify the Bank in writing when you change your address. Statements returned as undeliverable shall be retained by the Bank for 90 days from the date of each statement. If you have not called in person for the statement within this period, the Bank may destroy the statement without liability to the Bank. Copies of statements and other account information are available upon your request and are subject to applicable service charges and retention policies. Depositor Responsibilities. (a) Each of Amyris and Ginkgo, as a “Depositor”, shall make an initial deposit of the Escrowed Materials to Escrow Agent within three (3) months of the Effective Date. In conjunction with such deposit, the applicable Depositor will submit an itemized list of the initial Escrowed Materials to the other Party that is not the Escrow Agent, as the applicable “Beneficiary”. From time to time in accordance with the Collaboration Agreement, each Depositor may deposit additional or updated versions of the Escrowed Materials together with any applicable written instructions regarding return or destruction of any replaced Escrowed Materials (such instructions, the “Replacement Instructions”). In conjunction with any Replacement Instructions, such Depositor will submit to the applicable Beneficiary an updated itemized list of the Escrowed Materials resulting from such Replacement Instructions. (b) Prior to or in conjunction with the initial deposit of Escrowed Materials by a Depositor, such Depositor shall provide Escrow Agent with written instructions regarding the storage, handling & shipping conditions for the Depositor’s Escrowed Materials (the “Storage, Handling & Shipping Instructions”). Such Depositor may supplement or revise the Storage, Handling & Shipping Instructions at any time upon written notice to Escrow Agent. In conjunction with providing or updating any Storage, Handling & Shipping Instructions to Escrow Agent, such Depositor will also simultaneously provide a copy of such Storage, Handling & Shipping Instructions to the applicable Beneficiary.
