Updated Versions. Unless otherwise stated, (a) any definition of, or reference to, any Loan Document, or any other agreement, document or instrument herein shall be construed as referring to such Loan Document, agreement, document or instrument as amended, amended and restated, renewed, replaced, supplemented or otherwise modified from time to time in accordance with its terms, but subject always to any restrictions on any such amendment, amendment and restatement, renewal, replacement, supplementing or modification in any Loan Document, and shall be construed as being inclusive of all annexes, appendices, Exhibits and schedules thereto, and (b) any reference to a requirement of Applicable Law shall refer to such requirement as amended, amended and restated, supplemented or modified from time to time, including any statutory or regulatory codification, consolidation, interpretation, replacement or supplementing of such requirement of Applicable Law.

Updated Versions. Famic may from time to time create updated versions of the Software and Documentation and may, upon conditions that it might establish from time to time, make such updates available to Licensee should Licensee have paid in advance for the Maintenance Support Plan as per Section 23 MAINTENANCE SUPPORT PLAN CONDITIONS, and be properly registered, either by proper completion and return of Registration Form to Famic or through Internet. It is Licensee’s obligation to ensure that Famic has Licensee’s current address. The said updated versions do not include options, features or modules that are marketed independently from what Licensee had purchased. By installing any updates or other components of the Software that you receive separately as part of the updates, you agree to be bound by any additional License terms that accompany such updates. If you do not agree to the additional License terms that accompany such updates, you may not install or otherwise use such updates. Famic may cease supporting existing Software versions used by Licensees. Non supported versions will be shown on the following website: xxx.xxxxxxxxxxxxxxxx.xxx.

Updated Versions. ONYX shall delivery master copies of any updated versions of the Product(s), including fixes, enhancements, and new releases, promptly upon their availability, in the same form as Distributor received the prior version. ONYX shall also deliver to Distributor any other materials necessary for Distributor to incorporate such updates in existing Product(s) or to supersede prior versions. Distributor shall reimburse ONYX for all reasonable costs of supply.

Updated Versions. Intermountain may, but is not required to, provide Customer with updated versions of the Education Materials at any time. The License applies only to the most-recent version of the Education Materials provided by Intermountain. Upon receiving an updated version of the Education Materials from Intermountain, Customer will stop reproducing, displaying, and distributing previous versions of the Education Materials.
Updated Versions. COHERENCE shall make, introduce, and provide to SHARP for distribution updated versions of the Program Offering, including fixes, enhancements, and new releases or editions, of the same nature and on the same timetable as the updated versions made and introduced with respect to the Owner's other versions of the Program Offering, if any.   • Updates “Updates” are changes that do not require a change to the established Centralized Contract terms and conditions. Updates may include: Centralized Contract changes and updates made in accordance with the previously approved pricing formula (e.g. discount from list price); adding new products or services within the established, previously approved pricing structure; lowering pricing of products or services already on Contract, deleting products or services available through the Centralized Contract, adding product or service that do not fall under the previously established price structure or discounts under the Contract, re-bundled products, and other updates not listed above that are deemed to be in the best interest of the State and do not result in a change to the established Centralized Contract terms and conditions. Updates must be submitted to OGS for review, and must be accompanied by a justification of reasonableness of price if the change results in a change in pricing methodology. OGS will notify Contractor in writing if approved.

  • Updates and Upgrades Contractor grants to the Department a non-exclusive, non-transferable license to use upgrades and updates provided by Contractor during the term of the Contract. Such upgrades and updates are subject to the terms of the Contract. The Department shall download, distribute, and install all updates as released by Contractor during the length of the Contract, and Contractor strongly suggests that the Department also downloads, distributes, and installs all upgrades as released by Contractor during the length of the Contract. Contractor shall use commercially reasonable efforts to provide the Department with work-around solutions or patches to reported software problems that may affect the Department’s use of the software during the length of the Contract.

  • Schedule Updates the Contractor agrees to maintain the Work duration schedule updates on an ongoing basis and, when the County requests it, include the updates in its payment request. The Contractor may be required to submit a narrative report with each monthly update which shall include a description of current and anticipated problem areas, delaying factors and their impact, and an explanation of corrective action taken or proposed. Failure to do so may be considered a material breach of the Contract. Any additional or unanticipated costs or expense required to maintain the schedules shall be solely the Contractor’s obligation and Contractor agrees not to charge the County.

  • Equipment Specifications All equipment must meet the contract specifications and all federal and State safety codes and regulations in effect at the date of manufacture. All equipment must be Original Equipment Manufacturer (OEM) equipment unless otherwise stated in the contract. All products, materials, supplies, replacement parts, and equipment offered and furnished must be new, of current manufacturer production, and must have been formally announced by the manufacturer as being commercially available, unless otherwise stated in this Contract.

  • Minimum Site Requirements for TIPS Sales (when applicable to TIPS Sale). Cleanup: When performing work on site at a TIPS Member’s property, Vendor shall clean up and remove all debris and rubbish resulting from their work as required or directed by the TIPS Member or as agreed by the parties. Upon completion of work, the premises shall be left in good repair and an orderly, neat, clean and unobstructed condition. Preparation: Vendor shall not begin a project for which a TIPS Member has not prepared the site, unless Vendor does the preparation work at no cost, or until TIPS Member includes the cost of site preparation in the TIPS Sale Site preparation includes, but is not limited to: moving furniture, installing wiring for networks or power, and similar pre‐installation requirements. Registered Sex Offender Restrictions: For work to be performed at schools, Vendor agrees that no employee of Vendor or a subcontractor who has been adjudicated to be a registered sex offender will perform work at any time when students are, or reasonably expected to be, present unless otherwise agreed by the TIPS Member. Vendor agrees that a violation of this condition shall be considered a material breach and may result in the cancellation of the TIPS Sale at the TIPS Member’s discretion. Vendor must identify any additional costs associated with compliance of this term. If no costs are specified, compliance with this term will be provided at no additional charge. Safety Measures: Vendor shall take all reasonable precautions for the safety of employees on the worksite, and shall erect and properly maintain all necessary safeguards for protection of workers and the public. Vendor shall post warning signs against all hazards created by the operation and work in progress. Proper precautions shall be taken pursuant to state law and standard practices to protect workers, general public and existing structures from injury or damage. Smoking: Persons working under Agreement shall adhere to the TIPS Member’s or local smoking statutes, codes, ordinances, and policies.

  • Product Labeling The labeling of all Licensed Products sold or offered for sale under this Agreement shall expressly state that the Licensed Product is manufactured under a license from the Medicines Patent Pool.
