Description of Release. The Settlement Agreement provides that the Named Plaintiff shall release Defendants and other Released Parties from any and all suits, actions, causes of action, claims, or demands based on putative violations of any state or local law (both statutory and common law) or federal law pertaining to hours of work or payment of wages, including all possible claims under the Fair Labor Standards Act, 29 U.S.C. § 201, et seq. that were asserted or could have been asserted in the Litigation with respect to work performed in Kentucky, from the beginning of time until March 25, 2018. The Settlement Agreement further provides that the Settling Plaintiffs and Existing Opt-ins shall release Defendants and other Released Parties of all wage and hour claims (state and federal) arising from the facts alleged or that could have been alleged as related to the facts pled in the complaint during the class period of February 19, 2013 through March 25, 2018. The limited release specifically excludes any claims, including wage and hour claims, that Settling Plaintiffs and Existing Opt-ins may have as a result of holding any other position with Omnicare other than as an independent contractor driver or dispatcher. Settlement Class Members who do not submit a Valid Claim Form but who also do not opt out of the settlement, will not release FLSA claims but will release state law claims arising from the facts alleged or that could have been alleged as related to the facts plead in the complaint during the during the class period of February 19, 2013 through March 25, 2018. Excluded from the release are any claims which cannot be waived by law, including the right to file a charge with or participate in an investigation conducted by any state, or local government agency. This limited release also specifically excludes any claims, including wage and hour claims, that Settlement Class Members may have as a result of holding any other position with Omnicare other than other than as an independent contractor driver or dispatcher.

Description of Release. As set forth more fully in section 8.3 of the Plan, all Debtor-Affiliated Parties, the Shareholders, all Shareholder-Affiliated Parties, and the insurance companies who have settled with Dow Corning (and their Representatives) will be released from any and all Products Liability Claims, whether known or unknown, except for the obligations of those parties pursuant to the Plan and the related agreements. This means that anyone with a Claim relating to a Breast Implant or any of the other Claims being released will not be able to xxx any of the Released Parties, including Dow Corning, Dow Chemical, Corning and the Settling Insurers. However, section 8.3 will not affect contribution, indemnity, subrogation, or other claims of non- settling Insurance Companies against Settling Insurers to the extent that such claims were not released by the orders approving the settlement agreements with the Settling Insurers. Additionally, section 8.3 of the Plan provides that the Settling Physicians, the Settling Health Care Providers, and their respective Representatives will be released by all Persons from any and all Personal Injury Claims, except for the following claims, which are not released by section 8.3: (i) Malpractice Claims/18/ against Settling Physicians or Settling Health Care Providers; (ii) Claims against the Settling Physicians or Settling Health Care Providers held by non-Settling Personal Injury Claimants, and (iii) Products Liability Claims against the Settling Physicians or the Settling Health Care Providers that are held by Claimants in Classes 11 through 15 and 17 of the Plan whose Claims are liquidated by the Litigation Facility. All Claims against the Settling Physicians and Settling Health Care Providers that are not released by section 8.3 of the Plan (other than Malpractice Claims), provided that jurisdiction over such Claims is transferred to the District Court for resolution, will be subject to a channeling injunction and will be resolved, together with any corresponding Claim against DCC, through the Litigation Facility, as described in section 6.7(D) of this Disclosure Statement, which follows.   • FORM OF RELEASE Reference is hereby made to the Employment Agreement, dated as of ___, 200___(the “Employment Agreement”), by and between ___(the “Executive”) and Selective Insurance Group, Inc., a New Jersey corporation (the “Company”). Capitalized terms used but not defined herein shall have the meanings specified in the Employment Agreement. Pursuant to the terms of the Employment Agreement and in consideration of the payments to be made to the Executive by the Company, which Executive acknowledges are in excess of what Executive would otherwise be entitled to receive, the Executive hereby releases and forever discharges and holds the Company and its subsidiaries (collectively, the “Company Parties” and each a “Company Party”), and the respective officers, directors, employees, partners, stockholders, members, agents, affiliates, successors and assigns and insurers of each Company Party, and any legal and personal representatives of each of the foregoing, harmless from all claims or suits, of any nature whatsoever (whether known or unknown), past, present or future, including those arising from the law, being directly or indirectly related to the Executive’s employment by or the termination of such employment by any Company Party, including, without limiting the foregoing, any claims for notice, pay in lieu of notice, wrongful dismissal, severance pay, bonus, overtime pay, incentive compensation, interest or vacation pay for the Executive’s service as an officer or director to any Company Party through the date hereof. The Executive also hereby agrees not to file a lawsuit asserting any such claims. This release (this “Release”) includes, but is not limited to, claims growing out of any legal restriction on any Company Party’s right to terminate its employees and claims or rights under federal, state, and local laws prohibiting employment discrimination (including, but not limited to, claims or rights under Title VII of the Civil Rights Act of 1964, as amended by the Civil Rights Act of 1991, the Americans with Disabilities Act, the Family and Medical Leave Act, the Fair Labor Standards Act, the Uniformed Services Employment and Reemployment Rights Act, the Employee Retirement Income Security Act, the Equal Pay Act, the Age Discrimination in Employment Act of 1967, as amended by the Older Workers Benefit Protection Act of 1990, and the laws of the State of New Jersey against discrimination, or any other federal or state statutes prohibiting discrimination on the basis of age, sex, race, color, handicap, religion, national origin, and sexual orientation, or any other federal, state or local employment law, regulation or other requirement) which arose before the date this Release is signed, excepting only claims in the nature of workers’ compensation, claims for vested benefits, and claims to enforce this agreement. By signing this Agreement, Executive hereby acknowledges and confirms the following: (i) Executive was, and is hereby, advised by the Company in connection with his termination to consult with an attorney of his choice prior to signing this Agreement and to have such attorney explain to Executive the terms of this Agreement, including, without limitation, the terms relating to Executive’s release of claims arising under ADEA, and Executive has in fact consulted with an attorney; (ii) Executive was given a period of not fewer than 21 days to consider the terms of this Agreement and to consult with an attorney of his choosing with respect thereto; (iii) Executive knowingly and voluntarily accepts the terms of this Agreement; (iv) the payments and benefits provided to Executive in consideration of this release are in addition to any amounts otherwise owed to Executive; and (v) this Agreement is written in a manner designed to be understood by Executive and he understands it. Executive also understands that he has seven days following the date on which he signs this Agreement within which to revoke the release contained in this paragraph, by providing the Company a written notice of his revocation of the release and waiver contained in this paragraph.

  • Timing of Release of Claims Whenever in this Agreement a payment or benefit is conditioned on the Executive’s execution and non-revocation of a release of claims, such as the separation agreement referenced in Section 11(a) hereof, such release must be executed and all revocation periods shall have expired within 60 days after the Date of Termination; failing which such payment or benefit shall be forfeited. If such payment or benefit constitutes Non-Exempt Deferred Compensation, then, subject to subsection (c) above, such payment or benefit (including any installment payments) that would have otherwise been payable during such 60-day period shall be accumulated and paid on the 60th day after the Date of Termination provided such release shall have been executed and such revocation periods shall have expired. If such payment or benefit is exempt from Section 409A of the Code, the Company may elect to make or commence payment at any time during such 60-day period.

  • Form and Sufficiency of Release In the event that the Company or any Guarantor has sold, exchanged, or otherwise disposed of or proposes to sell, exchange or otherwise dispose of any portion of the Collateral that may be sold, exchanged or otherwise disposed of by the Company or any Guarantor to any Person other than the Company or a Guarantor, and the Company or any Guarantor requests in writing that the Noteholder Collateral Agent furnish a written disclaimer, release or quit-claim of any interest in such property under this Indenture and the Collateral Agreements, the Noteholder Collateral Agent shall execute, acknowledge and deliver to the Company or such Guarantor (in proper form prepared by the Company or such Guarantor) such an instrument without representation or warranty promptly after satisfaction of the conditions set forth herein for delivery of any such release. Notwithstanding the preceding sentence, all purchasers and grantees of any property or rights purporting to be released herefrom shall be entitled to rely upon any release executed by the Noteholder Collateral Agent hereunder as sufficient for the purpose of this Indenture and as constituting a good and valid release of the property therein described from the Lien of this Indenture or of the Collateral Agreements.

  • Execution of Receipts and Releases Any payment of cash or any issuance or transfer of shares of Stock or other property to you, or to your legal representative, heir, legatee or distributee, in accordance with the provisions hereof, shall, to the extent thereof, be in full satisfaction of all claims of such Persons hereunder. The Company may require you or your legal representative, heir, legatee or distributee, as a condition precedent to such payment or issuance, to execute a release and receipt therefor in such form as it shall determine.

  • Release of Claims Agreement The receipt of any severance payments or benefits pursuant to this Agreement is subject to Executive signing and not revoking a separation agreement and release of claims in a form mutually acceptable to the Company and Executive (the “Release”), which must become effective no later than the sixtieth (60th) day following Executive’s termination of employment (the “Release Deadline”), and if not, Executive will forfeit any right to severance payments or benefits under this Agreement. To become effective, the Release must be executed by Executive and any revocation periods (as required by statute, regulation, or otherwise) must have expired without Executive having revoked the Release. In addition, in no event will severance payments or benefits be paid or provided until the Release actually becomes effective. If the termination of employment occurs at a time during the calendar year where the Release Deadline could occur in the calendar year following the calendar year in which Executive’s termination of employment occurs, then any severance payments or benefits under this Agreement that would be considered Deferred Payments (as defined in Section 4(c)(i)) will be paid on the first payroll date to occur during the calendar year following the calendar year in which such termination occurs, or such later time as required by (i) the payment schedule applicable to each payment or benefit as set forth in Section 3, (ii) the date the Release becomes effective, or (iii) Section 4(c)(ii); provided that the first payment shall include all amounts that would have been paid to Executive if payment had commenced on the date of Executive’s termination of employment.
