Direct Notification. Lender may, additionally, in its sole discretion, at any time that an Event of Default exists, direct Account Debtors to make payments on the Accounts Receivable Collateral, or portions thereof, directly to Lender, and the Account Debtors are hereby authorized and directed to do so by Borrower upon Lender's direction, and the funds so received shall be also deposited in the Collateral Reserve Account, or, at the election of Lender, upon its receipt thereof, be applied directly to repayment of the Obligations in such order as Lender, in its sole discretion, shall determine.

Direct Notification. From and after an Event of Default, that is not cured within the cure period specified in the Note, after notice to Debtor pursuant to Section 9502 of the California Commercial Code, Secured Party or Secured Party's Representative may, at any time, notify lessees, customers or account debtors of Debtor that the Accounts have been assigned to Secured Party and that Secured Party has a security interest therein, collect the Accounts directly, and charge the collection costs and expenses to Debtor's account, and Debtor shall collect all Accounts for the benefit of Secured Party and receive in trust all payments received on account of the Accounts. The receipt of any check or other item of payment by Secured Party shall not be considered a payment on account until such check or other item of payment is honored when presented for payment.

Member agrees that if any Pledged Collateral is redeemed by Unified for an amount determined in accordance with the redemption policy in effect from time to time as set forth in Unified’s bylaws, that Member shall not be entitled to a credit against the Secured Obligations in an amount in excess of such redemption price, and neither Collateral Agent nor any Secured Party shall incur any liability or responsibility to Member in connection therewith, notwithstanding the possibility that a substantially higher price might have been realized at a public sale or private sale of the Pledged Collateral.
