DIRECTOR'S AUTHORITY. The Director is authorized by County's Board of Supervisors to order changes or additions in the work where the cost of such change does not exceed the limits specified in Public Contract Code Section 20142. Only the Board of Supervisors may approve changes greater than those limits.
DIRECTOR'S AUTHORITY. The parties agree that there shall be two (2) regular meetings of the board of directors ("Board") of the Coating Company held semi-annually. Other meetings shall be held only upon the written request of three or more directors ("Directors") of the Coating Company. All actions of the Board shall require the affirmative vote of six (6) members in order for the action to be effective. The Directors of the Coating Company shall exercise the authority of Coating Company as provided in the Ohio Revised Code, subject to the terms and conditions of this Agreement, including, but not limited to, the requirement that all actions require six (6) affirmative votes of the members of the Board. If any action proposed by any member of the Board concerning the operations of the Coating Company, other the Major Corporate Decisions described in Section 3.05(C) hereof, does not receive six (6) affirmative votes, any five (5) directors may request arbitration of this action as provided in Section 11.16 hereof.
DIRECTOR'S AUTHORITY. The director may suspend, restrict, or place conditions, including requiring a surety bond, on a license vendor’s privileges if the Vendor is found to be in violation of their vendor agreement or delinquent in their financial obligation to the Department. Any Vendor that has their privileges suspended, restricted or conditioned may request a hearing before a hearing officer to appeal the director’s determination.
DIRECTOR'S AUTHORITY. There shall be two (2) regular meetings of the board of directors (the 'Board') of the Coating Company to be held semi-annually. Other meetings shall be held only upon the written request of three or more directors ("Directors") of the Coating Company. A majority of the whole number of authorized Directors shall constitute a quorum for a meeting of Directors. The act of a majority of Directors present at a meeting is the act of the Board, unless otherwise provided by law, the Articles, the Regulations or this Agreement.
B. Section 3.03, Election and Number of Directors is hereby amended by deleting such Section in its entirety and substituting therefor the following:

In the exercise of jurisdiction under § 582.10, the Director is authorized and directed to act upon the requests, applications, and notices submitted under the regulations in this part; to issue either written or oral orders to govern lease operations; and to require compliance with applicable laws, regulations, and lease terms so that all operations conform to sound conservation practices and are conducted in a manner which is consistent with the following:

DIRECTOR'S AUTHORITY. The Director of the Department of Public Works, or designee, shall administer this Agreement on behalf of COUNTY. Unless otherwise provided herein or required by applicable law, the Director shall be vested with all rights, powers, and duties of COUNTY hereunder.
DIRECTOR'S AUTHORITY. The term "Director" as used throughout this Agreement in regard to permission, warrant, consent, approval, lights, interpretations, and discretionary matters, shall mean the Seattle Center Director or such official's designee; Provided, that the action of the Director pursuant to or in implementation of this Agreement does not constitute any official action by any other City Department or official that may be required by law, ordinance, rule or regulation before KeyCorp may rightfully commence, suspend, enlarge, or terminate any particular undertaking or may obtain or exercise any particular right or privilege under this Agreement. Decisions to be made by the Director shall be left to such official's reasonable discretion.
DIRECTOR'S AUTHORITY. In furtherance and not in limitation of the powers conferred by statute, the Board of Directors is expressly authorized:
(i) To make, alter and amend the by-laws of the Corporation. The original bylaws of the Corporation shall be adopted by the incorporator.
(ii) To fix and vary the amount of the working capital of the Corporation and to determine what, if any, dividends shall be declared and paid.
(iii) To authorize and cause to be executed mortgages and liens upon the real and personal property of the Corporation.
(iv) To set apart out of any of the funds of the Corporation available for dividends a reserve or reserves for any proper purpose or to abolish any such reserve in the manner in which it was created.
(v) By a resolution passed by a majority vote of the whole board, if so provided in the by-laws, to designate two or more of its number to constitute an executive committee, which committee shall exercise, as provided in said resolution or in the by-laws, the powers of the Board of Directors in the management of the business, affairs and property of the Corporation during the intervals between the meetings of the directors.
(vi) To determine from time to time whether and, if allowed, under what conditions and regulations the accounts and books of the Corporation (other than the stock and transfer books), or any of them, shall be open to the inspection of the stockholders, and the stockholders’ rights in this respect are and shall be restricted and limited accordingly, subject to applicable law.
DIRECTOR'S AUTHORITY. The Director has the right to make any job assignment, shift assignment or transfer necessary to maintain the services of the Bureau.
