Disclosure Records. As of their respective dates, the Disclosure Records were timely filed and complied in all material respects with the requirements of the Applicable Securities Laws. The Disclosure Records constitute all of the documents and reports that the Purchaser was required to file under the Applicable Securities Laws. As of the time filed on SEDAR (or, if amended or suspended by a filing prior to the Execution Date, then on the date of such filing) none of the Disclosure Records contained any untrue statement of a material fact or omitted to state a material fact required to be stated therein or necessary in order to make the statements therein, in the light of the circumstances under which they were made, not misleading.
Disclosure Records. Business Associate will keep a record of any Disclosure of PHI that Business Associate makes, if Covered Entity would be required to provide an accounting to Individuals of such Disclosures under 45 C.F.R. § 164.528. Business Associate will maintain its record of such Disclosures for as long as it is required to maintain such record under the HIPAA Rules.
Disclosure Records. The Target has had the ability to review the Disclosure Records.
Disclosure Records. Business Associate will keep a record of any Disclosure of PHI that Business Associate makes to its subcontractors or other third parties, to enable Covered Entity to fulfill its obligations to provide an accounting of such Disclosures to Individuals in accordance with 45 C.F.R. § 164.528.
Disclosure Records. Associate will make available the information required to provide an accounting of disclosures in accordance with 45 C.F.R. § 164.528.
Disclosure Records. Associate will keep a record of any disclosure of PHI received from FCRW that Associate makes to its agents, subcontractors or other third parties other than: Disclosures to health care providers to assist in the treatment of patients; Disclosures to others to assist FCRW in paying claims; Disclosures to others to assist FCRW in conducting its health care operations as defined in 45 C.F.R. § 164.501; or Disclosures made pursuant to an individual’s Authorization. Associate will maintain this disclosure record for six years from the termination of this Agreement.
Disclosure Records. University will keep a record of any Disclosure of PHI that University makes to its subcontractors or other third parties, to enable Covered Entity to fulfill its obligations to provide an accounting of such Disclosures to Individuals in accordance with 45 C.F.R. § 164.528.
Disclosure Records. Records pertaining to a Disclosure are the property of the College and will be retained in accordance with College document retention rules.
Disclosure Records. Maintain a record of all Disclosures made of Protected Information, including (a) the date of the Disclosure, (b) the name and address of the organization and/or individual Receiving the Information; (c) a brief description of the information Disclosed; (d) if the Disclosure was not to the Individual, the Purpose for the Disclosure; and (e) a copy of all requests for Disclosures (“Disclosure Accounting”).70
Disclosure Records. Business Associate will keep a record of any disclosure made to its agents, subcontractors or other third parties for any purpose other than disclosures:
i. to carry out treatment, payment and health care operations as provided in 45 CFR §164.506;
ii. to Individuals of PHI about them as provided in 45 CFR §164.502;
iii. incident to a use or disclosure otherwise permitted or required by the HIPAA Privacy Rule, 45 CFR Part 164, Subpart E, as provided in 45 CFR §164.502;
iv. pursuant to an authorization as provided in 45 CFR §164.508;
v. for a facility's directory or to persons involved in the Individual's care or other notification purposes as provided in 45 CFR §164.510;
vi. for national security or intelligence purposes as provided in 45 CFR §164.512(k)(2);
vii. to correctional institutions or law enforcement officials as provided in 45 CFR §164.512(k)(5); or
viii. as part of a limited data set in accordance with 45 CFR §164.514(e); or Business Associate will maintain such disclosure record for six (6) years from the effective date of termination of this Addendum. Notwithstanding the foregoing, Business Associate agrees to document disclosures of PHI and collect information related to such disclosures as would be required for Covered Entity to respond to a request by an individual for an accounting of disclosures of PHI in accordance with 45 C.F.R. §164.528, and in accordance with, and upon the effective date of, Section 13405(c) of the HITECH Act.
