Discretionary Services Provided by Investment Manager. The Investment Manager you select will provide you with discretionary asset management services according to the investment strategy you select and the related investment objectives, and Reasonable Restrictions you may impose on the management of your Access Account(s). The Program is managed by Envestnet and Strategist pursuant to agreements entered into by Envestnet and Strategist. Generally, the Master Services Agreement between Envestnet and Sponsor, as well as the Strategist Management Agreement between Envestnet and Strategist will govern the provision of these services. As a discretionary investment advisory service, client-directed trading is not permitted in your Account.

Discretionary Services Provided by Investment Manager. Envestnet will provide you with discretionary investment advisory services according to the investment strategy you select and the related investment objectives, and any Reasonable Restrictions you may impose on the management of your Accounts. The separately managed account, mutual funds and/or ETFs investment options available in the Vista Separate Account Program are managed by Envestnet and other investment advisers, pursuant to agreements entered into by Envestnet and the Envestnet Managers. Generally, the Master Advisory Agreement between Envestnet and Sponsor, as well as the Sub-Management Agreement between Envestnet and the Envestnet Managers will govern the provision of these services. As a discretionary investment advisory service, client-directed trading is not permitted in your Account.
