Distributor and Marketing Agreements. Manager will provide to Xxxxxx Bank the following standard terms to be incorporated into its Distribution and Service Agreements and Marketing Agreements for Xxxxxx Bank’s review and approval prior to use: confidentiality and data security obligations, settlement obligations, compliance obligations, Card security obligations, and obligations to obtain Xxxxxx Bank approval for Programs and marketing materials and cooperate in Xxxxxx Bank audits, as and to the extent applicable to Distributors or Marketers (the “Standard Terms”). Any material deviations from the Standard Terms shall require the prior written consent of Xxxxxx Bank, and any such modifications to any Standard Terms after it has been executed by the Distributor or Marketer must be approved by Xxxxxx Bank, such approval shall not be unreasonably withheld or conditioned, and Manager and Xxxxxx Bank agree that it shall not be unreasonable for Xxxxxx Bank to refuse a deviation from the Standard Terms or modification to the Standard Terms of an existing Distribution and Service Agreement or CONFIDENTIAL AND PROPRIETARY Marketing Agreement if Xxxxxx Bank determines in its commercially reasonable judgment that such deviation or modification could expose Xxxxxx Bank to legal or reputational risk, risk of lawsuit or regulatory action, or otherwise would be inconsistent with Xxxxxx Bank’s risk policies. Manager shall provide to Xxxxxx Bank copies of all executed Distribution and Service Agreements and Marketing Agreements, including all amendments, supplements and modifications thereof, promptly upon Xxxxxx Bank’s written or e-mail request.

Marketing Materials may be furnished to the Manager by first class or overnight mail, facsimile transmission equipment, electronic delivery or hand delivery.
