Documentation and Expenses. Each assignment or sublease shall be evidenced by an instrument made in such written form as is satisfactory to Landlord and executed by Tenant and the assignee or subtenant. In the event of an assignment, the assignee shall assume and promise to perform the terms, covenants and conditions of this Lease which are obligations of Tenant, from and after the date the Assignee takes possession. Unless expressly released by Landlord, in writing, Tenant shall remain fully liable to perform its duties under this Lease following any assignment of the Lease. Tenant shall, on demand of Landlord, reimburse Landlord for Landlord's reasonable costs, including attorneys' fees, incurred in obtaining advice and preparing documentation for each assignment or sublease, up to a maximum of $1,500 per transaction.

Documentation and Expenses. In connection with each request for an assignment or subletting Tenant shall: (i) submit in writing to Landlord the name and legal composition of the proposed subtenant or assignee, the nature of the proposed subtenant's or assignee's business to be carried on in the Premises, the terms and provisions of the proposed sublease or assignment and such reasonable financial information as Landlord may request concerning the proposed subtenant or assignee; and (ii) pay Landlord's reasonable costs of processing such assignment or subletting, including attorneys' fees, upon demand of Landlord. Tenant shall provide Landlord with copies of all assignments, subleases and assumption instruments.
Documentation and Expenses. Each Transfer that requires Landlord’s consent that Tenant effects shall be evidenced by an instrument reasonably acceptable to Landlord, which shall be executed by Landlord, Tenant, and the transferee. Notwithstanding any permitted assignment or subletting, Sublessee shall remain fully liable to perform its obligations under this Lease. Sublessee shall, on demand of Lessor, reimburse Lessor for Lessor’s administrative fees and Lessor’s reasonable legal fees incurred by Lessor in obtaining advice and preparing documentation in connection with any proposed assignment or subletting, whether or not Lessor’s consent is given. Lessor has the right to estimate the amount of such administrative fees and legal fees in advance and require Sublessee to pay such advance to Lessor at the time Sublessee submits the materials required by Section 8.3.

Tenant shall reimburse Landlord for all reasonable out-of-pocket third party costs and expenses incurred by Landlord in connection with processing any request by Tenant for Landlord’s consent to any Assignment as provided in Section 15.1 hereof or any sublease , license or Operating Contract or non-disturbance agreement with respect thereto as provided in Sections 15.4, 15.7 or 15.8 hereof. Subject to the provisions set forth in Section 15.1 above, Tenant shall remain fully liable to perform its duties under this Lease notwithstanding that Tenant has subleased, assigned, or licensed all or a portion of the Premises.
