Domiciliation. For the purpose of the signature hereof as well as for all acts, notifications or minutes which shall be the result or consequences thereof, the Parties hereby elect domicile at their respective registered office, as stated in the presentation of the Parties.
Domiciliation. The Borrower shall comply at all times with the Luxembourg law dated May 31, 1999 concerning the domiciliation of companies, as amended, together with all interpretative circulars of the Commission de Surveillance du Secteur Financier (CSSF) in connection with such law.
Domiciliation. If, according to the Agreement, the Member has opted for domiciliation at the Site of Innofuse, the following stipulations apply: The domicile shall be domicile of Innofuse, as the case will be. The domiciliation does not comprise any additional services to be provided by the Innofuse. The Member is obliged to make sure that any mail or document received at the above address is immediately picked up. Innofuse is neither obliged to inform the Member about the receipt of such mail or document nor to send such mail or document to the Member. Innofuse is entitled to end the domiciliation at any time. In any case, the domiciliation ends with the expiration or termination of the Agreement. The Member is aware that it shall immediately indicate a new Swiss address to the commercial register when the domiciliation has ended otherwise the Member faces the risk, that the commercial register will delete the company from the commercial register. The Member is obliged to fully indemnify Innofuse from all demands, claims and costs which are asserted due to the granting of or in connection with the domicile.
Domiciliation. For the execution of this lease and its consequences, the Lessee has elected to have its domiciliation be located in the rented premises and the Lessor’s domiciliation is at its headquarters.
Domiciliation. For the execution of the present Agreement and its consequences, the parties agree that they will be domiciliated at their respective head office.
Domiciliation. Each LuxCo is in full compliance with the amended Luxembourg law dated 31 May 1999 on the domiciliation of companies (and the relevant regulations). The representations and warranties in this Section 3.1 shall survive the termination of this Agreement and the conveyance of any Transferred Assets to the Agent. Upon discovery by the Agent or either LuxCo of a breach of any of the foregoing representations and warranties, the party discovering such breach shall give prompt written notice thereof to the other immediately upon obtaining knowledge of such breach.
Domiciliation. The Borrower represents that the Investment Subsidiary complies with the Luxembourg law dated 31 May 1999 on the domiciliation of companies, as amended.
Domiciliation. JBS Lux is in compliance with the Luxembourg law dated 31 May 1999 act the domiciliation of companies, as amended (and the relevant regulations).
Domiciliation. 78. For the execution of this agreement and unless otherwise stipulated, the parties agree to address all correspondence to their respective head offices.
79. Any change of address must be notified to the other party by registered letter with acknowledgement of receipt.
Domiciliation. Each Lux Loan Party shall comply with the legal requirement of the Luxembourg Domiciliation Regulation.
