DUTIES OF NEWCO. (a) NewCo agrees to provide each type of Wireless Service to the Reseller upon the terms and conditions specified herein and at rates and charges determined pursuant to SECTION 11 and EXHIBIT A. NewCo shall obtain, retain and maintain suitable facilities, Permits and rights for the construction and maintenance of the circuits and equipment necessary to provide each type of Wireless Service in the applicable Geographic Service Areas. Subject to the limitations on resale of Wireless Services set forth herein, any new service or feature not described in EXHIBIT A, including but not limited to any New Service Offering as described in SECTION 2(C), will be available for resale under this Agreement by the Reseller in all GSAs, both In Territory and Out of Territory, as soon as reasonably practicable after the date when such service or feature is first commercially offered by NewCo.

DUTIES OF NEWCO. (a) With respect to Current Products and New Products sold by Newco to AP Biotech in accordance with the terms of this Agreement, Newco shall, except as otherwise provided below, at its sole expense and consistent with past practices:
DUTIES OF NEWCO. NewCo agrees to conduct, supervise and effectively manage the day-to-day Non-Online Transaction business affairs of the Xxxxx GPO as reasonably requested by Xxxxx during the term of this Agreement, including the provision of all personnel reasonably required to accomplish this undertaking. Any powers not specifically delegated or granted by Xxxxx to NewCo will remain with Xxxxx. NewCo shall use all reasonable commercial efforts to implement the Xxxxx GPO's policies and directives with the goal of causing the Xxxxx GPO to provide quality group purchasing organization services to Members consistent with the policies and directives set by Xxxxx, the financial resources available to the Xxxxx GPO, the competitive marketplace in which the Xxxxx GPO operates, Medicare reimbursement and other laws and, ultimately migrate Non-Online Transactions to Online Transactions. In the absence of such oral or written policies or standards, NewCo shall be expected to exercise its reasonable judgment in its management activities and to conduct such management activities according to the same standards by which it governs its own affairs. A description of certain of the management services to be provided by NewCo are set forth on Attachment A hereto. Without limiting the generality of the ------------ services described herein, such management services shall include personnel administration, maintenance of accounting and financial, as required, payment of accounts, including administrative fees, on behalf of the Xxxxx GPO to Members, depositing funds in accounts designated by Xxxxx, preparation of an annual business plan for the Xxxxx GPO including a Xxxxx GPO budget, marketing services, legal services and pursuit and negotiation of vendor and member agreements on the Xxxxx GPO behalf, all as reasonably required by Xxxxx.

  • Duties of FTIS FTIS shall be responsible for administering and/or performing transfer agent functions; for acting as service agent in connection with dividend and distribution functions; and for performing shareholder account and administrative agent functions in connection with the issuance, transfer, exchange, redemption or repurchase (including coordination with the Custodian) of Shares. FTIS shall be bound to follow its usual and customary operating standards and procedures, as they may be amended from time to time, and each current prospectus and Statement of Additional Information (hereafter, collectively, the "prospectus") of the Investment Company. Without limiting the generality of the foregoing, FTIS agrees to perform the specific duties listed on Schedule C. The duties to be performed by FTIS shall not include the engagement, supervision or compensation of any service providers, or any registrations or fees of any kind, which are required by the laws of any foreign country in which the Fund may choose to invest portfolio assets or sell Shares.

  • DUTIES OF GFS GFS’s duties with respect to Fund Accounting, Fund Administration and Transfer Agency services are detailed in Appendices I, II and III to this Agreement.

  • Duties of Consultant The Consultant agrees that it will generally provide the following specified consulting services through its officers and employees during the term specified in Section 1, above.
