Retention of Authority. Throughout the Consulting Period, the Company shall retain all authority and control over the business, policies, operations and assets of the Company and its affiliates. Consultant shall not knowingly violate any rules or policies of the Company applicable to Consultant or violate any applicable law in connection with the performance of the Consulting Services. The Company does not, by virtue of the Agreement, delegate to Consultant any of the powers, duties or responsibilities vested in the Company or its affiliates by law or under the organizational documents of the Company or its affiliates. Consultant shall have no authority to enter into contracts or agreements on behalf of the Company or its affiliates during or after the Consulting Period.
Retention of Authority. It is understood and agreed that any of the rights, powers, or authority the LACMTA had prior to the signing of this Agreement are retained by the LACMTA except those specifically abridged, granted, or modified by this Agreement.

All diagnoses, treatments, procedures and other medical and professional services shall be provided and performed exclusively by or under the supervision of a physician employed or otherwise engaged by Medical Group who meets the qualifications set forth in this Agreement. It is acknowledged that PQC is not authorized nor qualified to engage in any activity that constitutes the practice of medicine. To the extent, if any, that any act or service of PQC under this Agreement is determined to constitute the practice of medicine, the performance of such act or service by PQC shall be deemed waived and excused by Medical Group.

NewCo shall perform the services described in this Agreement in accordance with the reasonable policies and directives of Xxxxx as may be from time to time provided to it, including approval of vendor and distributor agreements. By entering into this agreement, Xxxxx does not delegate to NewCo any of the powers, duties, and responsibilities vested in Xxxxx by the bylaws of Xxxxx.
