Other Duties of OFI GLOBAL. OFI GLOBAL shall, at its own expense, provide and supervise the activities of all administrative and clerical personnel as shall be required to provide effective corporate administration for the Fund, including the compilation and maintenance of such records with respect to its operations as may reasonably be required; the preparation and filing of such reports with respect thereto as shall be required by the Commission; composition of periodic reports with respect to its operations for the shareholders of the Fund; composition of proxy materials for meetings of the Fund’s shareholders and the composition of such registration statements as may be required by federal securities laws for continuous public sale of shares of the Fund. OFI GLOBAL shall, at its own cost and expense, also provide the Fund with adequate office space, facilities and equipment.

Other Duties of OFI GLOBAL. OFI GLOBAL shall, at its own expense, provide and supervise the activities of all administrative and clerical personnel as shall be required to provide effective corporate management and administration for the Fund, including (i) the supervision of relations with, and the monitoring of the performance of, any sub-advisers, custodians, depositories, transfer and pricing agents, accountants, attorneys, underwriters, brokers and dealers, insurers and other persons in any capacity deemed to be necessary or desirable; (ii) the compilation and maintenance of such records with respect to its operations as may reasonably be required; (iii) the preparation and filing of such reports with respect thereto as shall be required by the Commission; (iv) the composition of periodic reports with respect to its operations for the shareholders of the Fund; (v) the composition of proxy materials for meetings of the Fund's shareholders; (vi) the composition of such registration statements as may be required by Federal securities laws for continuous public sale of shares of the Fund, and (vii) the development and implementation, if appropriate, of management and shareholder services designed to enhance the value or convenience of the Fund as an investment vehicle. OFI GLOBAL shall, at its own cost and expense, also provide the Fund with adequate office space, facilities and equipment and shall pay the salaries and fees of all officers of the Fund, of all Trustees of the Fund who are “interested persons” of the Fund or of OFI GLOBAL and of all personnel of the Fund or OFI GLOBAL performing services relating to research, statistical and investment activities. OFI GLOBAL shall also furnish such reports, evaluations, information or analyses to the Fund as the Fund's Board of Trustees may request from time to time or as OFI GLOBAL may deem to be desirable. OFI GLOBAL shall make recommendations to the Fund's Board of Trustees with respect to Fund policies, and shall carry out such policies as are adopted by the Trustees. OFI GLOBAL shall, subject to review by the Board of Trustees, furnish such other services as OFI GLOBAL shall from time to time determine to be necessary or useful to perform its obligations under this Agreement.

OFI GLOBAL shall, at its own cost and expense, also provide the Company with adequate office space, facilities and equipment. OFI GLOBAL shall, at its own expenses, provide such officers for the Company as the Board of Trustees may request. For clarity, these services also include: (i) determine and publish the Company's net asset value in accordance with such policies as may be adopted from time to time by the Company's Board of Directors; (ii) compile and maintain the Company's books and records with respect to its operations as required by Rule 31a-1 under the 1940 Act and such other records as may reasonably be required and (iii) respond to, or refer to the Company's officers or transfer agents, shareholders' inquiries relating to the Company.
