Early Buy-Out Sample Clauses

Early Buy-Out. If no event of Default exists, Lessee may purchase all, but not less than all, Units subject to this Schedule as of the 72nd scheduled Base Rent installment date of the Base Term of each such Unit ( the "Early Buy-Out Date"), by notice to Lessor not less than 180 days prior to the early Buy-Out Date. On the Early Buy-Out Date, Lessee shall pay to Lessor the Base Rent installment due, together with all other amounts then owing, plus an amount equal to $64,392.21 plus any applicable taxes. Upon such payment, the obligation of Lessee to pay rent hereunder with respect to the Units after the Early Buy-Out Date shall cease, the lease term for the Units shall end on the respective Early Buy-Out Date, and Lessor shall execute and deliver to Lessee a quitclaim xxxx of sale for the Units.

Early Buy-Out. Option #1 a. Buyer has the option to buy-out the Agreement for a single payment at any time after month six (6) of the Agreement. b. Purchase consideration to be calculated at 120% of the average of the six (6) most recent payments multiplied by the number of monthly payments remaining of the forty-eight (48) monthly payments. Option #2 a. Buyer has the option to buy-out the Agreement for a single payment at time during the term of the Agreement. b. Purchase consideration to be calculated at $180,000 less 100% of the monthly payments made to date. Option #3 a. Buyer has the option to buy-out the Agreement for a single payment at any time during the term of the Agreement. b. Purchase consideration to be negotiated at the option of Buyer and Seller. This consideration most likely would involve a net present value discounted at 7% on estimated remaining monthly payments.
Early Buy-Out. Provided no Event of Default has occurred and then remains uncured, Lessee may, by written notice to Lessor, purchase all, but not less than all, Equipment subject to this Schedule as of the due date for the Forty-Eighth (48), scheduled Base Rent installment (the “Early Buy-Out Date”). Such notice to Lessor shall be given not more than 360 days or less than 180 days prior to the Early Buy-Out Date and once given shall be irrevocable. On the Early Buy-Out Date, Lessee shall pay to Lessor the Base Rent installment then due, together with all accrued interest, late charges and all other amounts then due and owing under this Lease, plus an amount equal to Thirty-Nine and 8400/10000 percent (39.8400%) of Lessor’s Cost for all Equipment, which Lessor and Lessee acknowledge represents a reasonable current estimate of the fair market value of the Equipment as of the Early Buy -Out Date, plus any applicable taxes. Upon such payment, the obligation of Lessee to pay Rent hereunder with respect to the Equipment after the Early Buy-Out Date shall cease, the Lease Term of this Lease shall terminate on the Early Buy-Out Date, and Lessor shall convey all of its right, title and interest in the Equipment to Lessee free from all liens and encumbrances created by Lessor, but otherwise on an “AS-IS, WHERE-IS,” quitclaim basis.
Early Buy-Out. (a) So long as no Lease Event of Default, Incipient Termination Event or Termination Event shall have occurred and be continuing, the Lessee shall have the right, upon not more than three hundred sixty (360) days' nor less than one hundred eighty (180) days' irrevocable notice to the Lessor prior to the EBO Date (the "EBO Notice Date"), to purchase all, but not less than all, Items of Equipment on the EBO Dat at the EBO Price. As a condition to such purchase the Lessee shall be obligated to pay on the EBO Date (i) the EBO Price for such Item, (ii) Accrued Basic Rent as of the EBO Date, and (iii) all other Rent due an payable on or prior to the EBO Date including, without limitation, the Make Whole Premium Amount, if any, with respect to the Notes being prepaid on such EBO Date.
