Early Operation. 7.5.1 If Seller is ready to commence commercial operation of a PVGU prior to Commissioning of the Plant, Seller may sell Early Net Electrical Output generated by such PVGU to Buyer, provided that (i) Seller has represented to Buyer in writing that such PVGU is capable of safe, reliable and independent operation in accordance with Good Industry Practice, the Grid Code and Market Rules, (ii) the Transmission Company of Nigeria has confirmed in writing to Buyer that it will accept any Early Net Electrical Output generated by such PVGU under the Connection Agreement and (iii) Seller will operate and maintain such PVGU in accordance with the standards set forth in Clause 0. Seller will provide Buyer with at least fourteen (14) Days’ prior written notice of its intention to sell Net Electrical Output generated by a PVGU and the amount of Early Net Electrical Output Seller expects to deliver with respect to such PVGU.

Early Operation. Owners, on notice to Contractor, have the right to take care, custody and control of the Work and thereafter commence Early Operation of the Work. Should Owners place the Work in Early Operation, Contractor will thereafter have no further liability for liquidated damages pursuant to Section 7.6 or Section 7.7. Notwithstanding the foregoing, Contractor shall not be relieved of any other obligation under this Agreement, including the achievement of Substantial Completion and Final Completion.

  • Co-operation Each Party acknowledges that this ESA must be approved by the Department and agree that they shall use Commercially Reasonable efforts to cooperate in seeking to secure such approval.

  • Payment of Operating Expenses Subject to the provisions of Section 6.08(c), Borrower will (i) pay the expenses of operating, managing, maintaining and repairing the Mortgaged Property (including utilities, Repairs and Capital Replacements) before the last date upon which each such payment may be made without any penalty or interest charge being added, and (ii) pay Insurance premiums at least 30 days prior to the expiration date of each policy of Insurance, unless applicable law specifies some lesser period.

  • Emergency Mode Operation Plan Contractor must establish a documented plan to enable continuation of critical business processes and protection of the security of electronic County PHI or PI in the event of an emergency. Emergency means any circumstance or situation that causes normal computer operations to become unavailable for use in performing the work required under this Agreement for more than twenty-four (24) hours.
