Common use of Editing Clause in Contracts

Editing. The Company will specify two instances for editing after initial filming of the Video and two opportunities for the Client to provide comments upon the Video after each edit. Additional editing shall incur an extra cost of a minimum of £250 (plus VAT) per editing session. If the Client’s comments result in edits which require additional filming or additional resources, the Company may incur additional costs and the Company shall have the right to charge an amount greater than the minimum charge of £250 (plus VAT) provided all such costs are reasonable and have been notified to the Client prior to the Company incurring such costs. 30.1 This clause 30 shall apply in relation to any content we agree to upload on a unique URL to one of our ‘Business Reporter Sponsored Hubs’ on a third-party publisher’s website, including, without limitation, the ‘Business Reporter Dedicated Business Reporter Hub on xxxxxxxxx.xx.xx’, the ‘Dedicated Business Reporter Hub on xxxxxxxxx.xxx‘, the ‘Dedicated Business Reporter Hub on xxxxxx.xxx’, the ‘Dedicated Business Reporter Hub on xxxxxxxxxxx.xx.xx’, the ‘Dedicated Business Reporter Hub on xxxxxxxxxxxxxxx.xx’, and any other online hub bearing the ‘Business Reporter’ name and hosted on a third party publisher’s website from time to time (‘Sponsored Hub URLs’). 30.2 Subject to Clause 30.4, and unless agreed otherwise between the parties, Sponsored Hub URLs shall be hosted for twelve (12) months from their date of publication (the "URL Hosting Period"). 30.3 The Company shall have the right to remove the Client’s Sponsored Hub URLs (as the case may be) after the date which is the earlier of: (i) the end of the URL Hosting Period; or (ii) the date when the Company provides notice of a URL Substitution in accordance with Clause 30.4. 30.4 Provided that the Company provides notice to the Client, the Company shall have the right to substitute any or all of the Client’s Sponsored Hub URLs (as the case may be) with one or more replacement Sponsored Hub URL(s) on another publisher’s website (a “URL Substitution”). A URL Substitution may occur (i) at any time after one hundred and twenty (120) days have elapsed following the upload date for the Sponsored Hub URL under ordinary circumstances and for any reason, or (ii) at any time where the original publisher removes the Sponsored Hub URL without the Company’s agreement. Where the Company conducts a URL Substitution, the Company shall no longer be required to host the original Sponsored Hub URL on its original publisher’s website (as the case may be) and shall host the same content on the replacement Sponsored Hub URL(s) until the date which is the earlier of: (a) Twelve (12) months from the date when the Client’s replacement Sponsored Hub URL(s) is first published; or (b) the date which would have been the end of the URL Hosting Period had the Client’s original Sponsored Hub URL(s) (as the case may be) continued to have been hosted for the full URL Hosting Period. 30.5 The Company shall not be liable to the Client for any failure to upload a Sponsored Hub URL on the original publisher’s website in the event that a URL Substitution is performed, and such content is uploaded and remains live for the full URL Hosting Period (notwithstanding any break or interruption to such period arising as a result of such substitution). 30.6 Client acknowledges that a URL Substitution may take place without notice and agrees that such substitution shall, if performed in accordance with the terms of this clause 30, constitute a valid discharge of the Company’s obligations under the Contract.
