Effect of Termination by Employer. In the event of the termination of Employee's employment by the Employer pursuant to the terms hereof for any reason, (a) any outstanding Employee Series B Shares held by Employee that, at the time of any such termination, may be converted pursuant to the terms hereof shall automatically convert into the appropriate number of GreenShift common shares at the 1 for 25 ratio and based on the other restrictions on conversion stated above, which common shares shall be issued to Employee within no more than FIVE (5) days following any event of termination; and (b), any outstanding Employee Series B Shares held by Employee that, at the time of any such termination, may not be converted pursuant to the terms hereof shall NOT be forfeit by Employee and shall automatically convert into the appropriate number of GreenShift common shares at the 1 for 25 ratio and based on the other restrictions on conversion stated in this Section 4(F), which common shares shall be issued to Employee within no more than FIVE (5) days following the satisfaction by GreenShift of any and all such conditions as relevant.

Effect of Termination by Employer. If Executive's employment by the Employer is terminated by the Employer pursuant to Section 12(a) hereof, all compensation under Section 2 of this Agreement that has accrued in favor of Executive as of the date of such termination, to the extent unpaid or undelivered shall be paid or delivered to Executive on the date of termination. Upon such termination of Executive's employment and payment of such amount (and, if applicable, the full amount payable pursuant to clause ii of Section 12(a)), the Employer's obligations under this Agreement shall terminate, except as provided in Section 2(e) (as it relates to expenses incurred prior to such termination) and Section 2(d). Executive acknowledges that his obligations under Section 4 hereof will survive any such termination.

  • Termination by Employer (i) Employer may terminate this Agreement upon written notice for Cause. For purposes hereof, "Cause" shall mean (A) engaging by the Employee in conduct that constitutes activity in competition with Employer; (B) the conviction of Employee for the commission of a felony; and/or (C) the habitual abuse of alcohol or controlled substances. Notwithstanding anything to the contrary in this Section 10(a)(i), Employer may not terminate Employee's employment under this Agreement for Cause unless Employee shall have first received notice from the Board advising Employee of the specific acts or omissions alleged to constitute Cause, and such acts or omissions continue after Employee shall have had a reasonable opportunity (at least 10 days from the date Employee receives the notice from the Board) to correct the acts or omissions so complained of.   • Termination by Employee In the event Employee terminates this Agreement, the Company shall be obligated to pay Employee that pro-rata portion of his current semi-monthly Base Salary payment, as adjusted for any increase thereto, which is earned but unpaid as of the Termination Date, any earned but unpaid incentive compensation, any accrued but unpaid paid time off (“PTO”) due to him through the Termination Date and any unreimbursed expenses. If Employee terminates Employee’s employment pursuant to this subsection (B)(i), then the Company, at its option, may require Employee to cease providing services during the thirty (30) day notice period required therein; provided, however, for purposes of calculating payment upon termination under this Agreement, Employee shall be treated as if he was employed during such thirty (30) day period. “Good Reason” shall mean (1) a material involuntary reduction in Employee’s duties, authority, reporting responsibility or function by the Company, (2) a material reduction in Employee’s compensation package other than as mutually agreed, (3) Employee’s involuntary relocation to a principal place of work more than thirty (30) miles from Charlotte, North Carolina or (4) a material breach by the Company of its obligations hereunder, provided that, upon the occurrence of any of these acts or omissions, Employee gives the Company notice of his belief that he has Good Reason to terminate this Agreement and the Company fails to cure within thirty (30) business days of receipt of Employee’s notice.

  • Effect of Termination Upon any expiration of the Term or termination of this Agreement, the obligations and rights of the parties hereto shall cease, provided that such expiration or termination of this Agreement shall not relieve the parties of any obligation or breach of this Agreement accruing prior to such expiration or termination, including, without limitation, all accrued payment obligations arising under Article 6. (b) Upon the termination of the Employee's employment pursuant to Section 7(b), neither the Employee nor the Employee's beneficiaries or estate shall have any further rights under this Agreement or any claims against the Corporation arising out of this Agreement, except the right to receive: (i) the unpaid portion of the Base Salary, computed on a pro rata basis, for the period from the Commencement Date until the first anniversary of the Termination Date, payable in such installments as the Base Salary was paid prior to the Termination Date; and (ii) the payments, if any, referred to in Sections 8(a)(ii) and (iii). (c) The Employee's obligations under Sections 9, 10 and 11 of this Agreement, and the Corporation's obligations under this Section 8, shall survive the termination of this Agreement and the termination of the Employee's employment hereunder.
