Electronic Tax Payments. NACHA Rules You agree to comply with the Operating Rules and Guidelines of the National Automated Clearing House Association (“NACHA”) as amended from time to time (collectively the “Rules”) and applicable law. You and we are bound by the Rules for all Entries, whether or not an Entry is sent through an automated clearing house. You can obtain a copy of the current Rules at xxxxx://xxx.xxxxx.xxx or by telephoning NACHA at (000) 000-0000. As used in this Agreement, “Entries” includes both the meaning provided in the Rules, and also entry data you submit from which we may prepare Entries. You must submit your Entries to us in the manner we designate, including any terms or instructions that may be presented to you on-screen when submitting Entries. Unless we have otherwise agreed in writing after credit underwriting, you must submit ACH consumer credit Entries to us two business days before the payment date and all other ACH Entries one business day prior to the payment date. Funding All ACH credit files must be pre-funded unless otherwise agreed in a separate writing signed by us. “Pre-funded” means that we will debit your offset (i.e., payment) Eligible Account for an amount equal to the total of your ACH file. That offset will be made on the day your file is sent to the ACH network for processing (i.e., typically two days prior to the transaction effective date). Each ACH file you send to us will consist of one or more batches of ACH Entries. Sufficient funds must be available in your offset Eligible Account at the time the batches are processed. If sufficient funds are not then available, we will process only those batches for which sufficient funds are available, in the order those batches appear within your file. Batches for which sufficient funds are not available will suspend, and will be attempted again in the next available settlement window. If a batch cannot be processed the night before the effective date of that batch, that batch will not be processed. If we do not require your file to be prefunded, we may still refuse your ACH credit file if you have insufficient funds in your Eligible Account on the date we initiate the transaction (e.g., two business days prior to the settlement date for an ACH credit entry) or on the payment/settlement date. We may also require you to maintain sufficient available funds in your Eligible Account prior to processing of your files. We may also place a hold on funds pending processing of your files. Electronic Tax Payments. All ACH activity will be governed by and subject to Operating Rules of the National Automated Clearing House (NACHA) and Western Payments Alliance (WesPay), as they may be amended from time to time (the “Rules”), and applicable federal and state laws. You and we are bound by the Rules for all Entries whether or not an Entry is sent through the ACH. All capitalized terms used in this section but not defined in this Agreement will have the meanings indicated in the Rules. The term “Entry” (or “Entries”) shall have the meaning provided in the Rules, and shall also include Pre-notifications and the Entry data you submit from which we prepare the Entries. Should sufficient funds not be available in the source account when an ACH transaction is processed, Zions Bank may deduct the appropriate amount from any other account you maintain at Zions Bank, on the effective date of the transaction, or thereafter. Each time you use the ACH Services, you warrant that your ACH transactions do not violate United States laws or regulations (e.g., laws administered by the U.S. Treasury’s Office of Foreign Assets Control (“OFAC”)). You agree to send pre-notification Entries when required by the Rules, and you agree not to send an Entry when a prior pre-notification for that Entry has been rejected or returned, until you have corrected the reason for the rejection or return and have sent a new pre-notification Entry. Your use of the ACH service is subject to credit approval.

  • Electronic Payments The Grantee can choose to use electronic funds transfer (EFT) to receive grant payments. All grantees wishing to receive their award through EFT must submit a Vendor Direct Deposit Authorization form (form number DFS-AI-26E, rev 6/2014), incorporated by reference, to the Florida Department of Financial Services. If EFT has already been set up for your organization, you do not need to submit another authorization form unless you have changed bank accounts.   • Electronic Payment certificate – an electronic certificate created by the client and/or Bank which represents the basis of performing transactions on the account of the client;

  • Consent to Electronic Delivery; Electronic Signature In lieu of receiving documents in paper format, the Participant agrees, to the fullest extent permitted by law, to accept electronic delivery of any documents that the Company may be required to deliver (including, but not limited to, prospectuses, prospectus supplements, grant or award notifications and agreements, account statements, annual and quarterly reports and all other forms of communications) in connection with this and any other Award made or offered by the Company. Electronic delivery may be via a Company electronic mail system or by reference to a location on a Company intranet to which the Participant has access. The Participant hereby consents to any and all procedures the Company has established or may establish for an electronic signature system for delivery and acceptance of any such documents that the Company may be required to deliver, and agrees that his or her electronic signature is the same as, and shall have the same force and effect as, his or her manual signature.

  • Counterparts; Facsimile/Electronic Signatures This Warrant may be executed in counterparts, all of which together shall constitute one and the same agreement. Any signature page delivered electronically or by facsimile shall be binding to the same extent as an original signature page with regards to any agreement subject to the terms hereof or any amendment thereto.

  • Counterparts; Facsimile and Electronic Signatures This Agreement may be executed in any number of counterparts, and each such counterpart hereof shall be deemed to be an original instrument, but all such counterparts together shall constitute but one agreement. Counterpart signatures to this Agreement delivered by facsimile or other electronic transmission shall be acceptable and binding.

  • Facsimile and Electronic Signatures The use of facsimile or other electronic signatures affixed in the name and on behalf of the Transfer Agent, if any, on certificates or other documents (if uncertificated) representing Shares is expressly permitted by this Agreement.

  • Withholding of Taxes and Other Employee Deductions Company may withhold from any benefits and payments made pursuant to this Agreement all federal, state, city and other taxes as may be required pursuant to any law or governmental regulation or ruling and all other normal employee deductions made with respect to Company’s employees generally.

  • Counterparts; Electronic Signatures Electronic signatures shall be deemed original signatures for purposes of this Agreement and all matters related thereto, and shall have the same legal effect as original signatures.

  • Electronic Transactions The parties hereto agree that the transactions described herein may be conducted and related documents may be stored by electronic means. Copies, telecopies, facsimiles, electronic files and other reproductions of original executed documents shall be deemed to be authentic and valid counterparts of such original documents for all purposes, including the filing of any claim, action or suit in the appropriate court of law.
