Employment of Affiliates Sample Clauses

Employment of Affiliates. Subject to Section 10.2, the Members may, on behalf and at the expense of the Company, engage any Member or an Affiliate of any Member to render services or provide goods to the Company. Notwithstanding Section 10.2 or any other provision of this Agreement, all decisions relating to any contract or other arrangements between the Company and any Member or any Affiliate of any Member, including the License, shall be made solely by the Members that are not parties to such arrangement and whose Affiliates are not parties to such arrangement (the “Other Members”). Any such decision shall require the approval of all of the Other Members if such matter is a Major Decision or the approval of Members having a majority of the Participating Percentages of the Other Members if such matter is not a Major Decision. Such matters shall include any decision to exercise or waive any rights or remedies of the Company under, or to amend or modify, the License or any other contract or arrangement from time to time in effect between the Company and any Member or any Affiliate of any Member.

Employment of Affiliates. Manager may, acting in its sole discretion in the best interests of Owner, employ or retain as consultants or agents any of Manager's Affiliates, or any other entity or Person related to Manager, in fulfilling its obligations pursuant to this Agreement; provided, however, that Manager shall disclose all transactions with any entity related to Manager, as required by Generally Accepted Accounting Principles on the quarterly financial statements required under Section 5.11. All such service agreements shall be on economic terms comparable with agreements negotiated on an arms-length basis and subject to Owner’s approval.

The Manager(s) shall not be required to manage the Fund as its sole and exclusive function. Additionally, the Members may have other business interests and may engage in other activities in addition to those relating to the Fund, and neither the Fund nor any Member shall have any right, by virtue of this Agreement, to share or participate in such other investments or activities of one another.
