Energy Service. During the term of this Agreement, NHEC shall xxxx, and Ski Area shall pay, for Energy in accordance with the applicable NHEC Terms and Conditions relative to Energy Services for Ski Area Contract Members. The initial Energy Service Rates and Charges applicable under this Agreement shall be fixed for the period commencing on January 1, 2004 and ending at 12:00 A.M. on October 1, 2004, “the Initial Power Supply Period” and are set forth in Appendix B attached. Subsequent to the Initial Power Supply Period, NHEC’s Energy Services Rates and Charges for Ski Area Contract Members shall be calculated, established, and from time-to-time adjusted, so as to permit NHEC to recover its third-party and internal costs incurred to provide Energy Services to the Ski Area Contract Members. NHEC’s third-party costs include any costs incurred under the wholesale power supply contracts or transactions necessary to provide Energy Services to Ski Area Contract Members, as well as any third-party transactional costs, including credit support requirements, consultant and attorney services, and any other third-party cost required to obtain and manage the wholesale power supply arrangements necessary to provide Energy Service to the Ski Area Contract Members, provided, however, that no under-recovery or over-recovery balance, if any, associated with the Initial Power Supply Period shall be included in the establishment of NHEC’s Energy Services Rates and Charges. NHEC’s internal costs include the allocation of NHEC personnel time required to obtain and manage the wholesale power supply arrangements necessary to provide Energy Services to the Ski Area Contract Members. Ski Area shall be entitled to review and accept, on a confidential basis, the terms of any energy supply contract between NHEC and an energy supplier under which Energy Service may be provided to Ski Area by NHEC under this Agreement for any time period subsequent to the Initial Power Supply Period, and prior to expiration of any such contract Ski Area shall have the right to review and accept any subsequent energy supply contract. If NHEC is unable to contract for Energy Service at rates and terms acceptable to Ski Area, Ski Area shall have the right either: 1) to terminate this Agreement upon expiration of the then-current energy supply contract by providing written notice to NHEC at least thirty (30) days prior to the expiration of the then-current energy supply contract, or 2) to obtain energy service from a Comp...
Energy Service. 7.1 Energy Service will be made available in accordance with this Agreement for that portion of either Party’s system that lies in the vicinity of the Point of Interconnection, and shall not be used to make up any deficiency in either Party’s system during normal operating conditions. Each Party reserves sole discretion in determining its capability to meet a request for Energy Service from the other Party. Nothing in this Agreement shall require a Party to agree to close the interconnection if such closure might impair service on that Party’s system.
Energy Service. 2 2.1 Services; Exclusivity; Right of First Refusal; Performance; Customer Agreements
Energy Service. 1.1.1 By this contract, the Contracting authority contracts, and the Provider undertakes to provide to the Contracting authority, energy service for the purpose of improvement of the energetic properties of the Public lighting system. The Energy service means achieving provable savings on Operating costs for the Contract authority, which shall be achieved by implementing Energy efficiency improvement measures consisting of: (i) elaboration and implementation of Energy efficiency increase project; (ii) implementation of Measures of refurbishment which comprise the execution of all works, installation of equipment and materials foreseen by the Energy efficiency increase project; (iii) professional supervision over the implementation of the Measures of refurbishment; (iv) energetic inspection after the Period of refurbishment; (v) monitoring and verification of savings pursuant to the Plan on monitoring, measurement and verification of Energy savings in accordance with the International Performance Measurement and Verification Protocol. 1.1.2 The Provider is responsible for implementing Energy efficiency improvement measures in accordance with the Bid and this contract with the purpose of achieving Guaranteed savings in the manner described in the Bid.

  • Water Service The Purchase Price for the Property shall include all water rights/water shares, if any, that are the legal source for Seller’s current culinary water service and irrigation water service, if any, to the Property. The water rights/water shares will be conveyed or otherwise transferred to Buyer at Closing by applicable deed or legal instruments. The following water rights/water shares, if applicable, are specifically excluded from this sale:

  • Electric Service 1. The Authority shall make available Electric Service to enable the Customer to receive the Allocation in accordance with this Agreement, Service Tariff No. WNY-2 and the Rules. 2. The Customer shall not be entitled to receive Electric Service under this Agreement for any EP and/or RP allocation unless such EP and/or RP allocation is identified in Schedule A. 3. The Authority will provide, and the Customer shall accept and pay for, Electric Service with respect to the Allocation specified in Schedule A. If Schedule C specifies a Takedown Schedule for the Allocation, the Authority will provide, and the Customer shall accept and pay for, Electric Service with respect to the Allocation in accordance with such Takedown Schedule. 4. The Authority shall provide UCAP in amounts necessary to meet the Customer’s NYISO UCAP requirements associated with the Allocation in accordance with the NYISO Tariffs. The Customer shall be responsible to pay the Authority for such UCAP in accordance with Service Tariff No. WNY-2. 5. The provision of Electric Service associated with the Allocation is an unbundled service separate from the transmission and delivery of power and energy to the Customer. The Customer acknowledges and agrees that Customer’s local electric utility, not the Authority, shall be responsible for delivering the Allocation to the Facility specified in Schedule A in accordance with the applicable Utility Tariff(s). 6. The Contract Demand for the Customer’s Allocation may be modified by the Authority if the amount of Firm Power and Firm Energy available for sale as EP or RP from the Project is modified as required to comply with any ruling, order, or decision of any regulatory or judicial body having jurisdiction, including but not limited to FERC. Any such modification will be made on a pro rata basis to all EP and RP customers, as applicable, based on the terms of such ruling, order, or decision. 7. The Contract Demand may not exceed the Allocation. 8. The Customer’s Facility must be metered by the Customer’s local electric utility in a manner satisfactory to the Authority, or another metering arrangement satisfactory to the Authority must be provided (collectively, “Metering Arrangement”). A Metering Arrangement that is not satisfactory to the Authority shall be grounds, after notice to the Customer, for the Authority to modify, withhold, suspend, or terminate Electric Service to the Customer. If a Metering Arrangement is not made to conform to the Authority’s requirements within thirty

  • Utility Services Company agrees to pay the full cost and expense associated with its use of all utilities, including but not limited to water, sanitary sewer, electric, storm drainage, and telecommunication services.

  • Health Services At the time of employment and subject to (b) above, full credit for registered professional nursing experience in a school program shall be given. Full credit for registered professional nursing experience may be given, subject to approval by the Human Resources Division. Non-degree nurses shall be placed on the BA Track of the Teachers Salary Schedule and shall be ineligible for movement to any other track.

  • Surgery Services This plan covers surgery services to treat a disease or injury when: • the operation is not experimental or investigational, or cosmetic in nature; • the operation is being performed at the appropriate place of service; and • the physician is licensed to perform the surgery. This plan covers reconstructive surgery and procedures when the services are performed to relieve pain, or to correct or improve bodily function that is impaired as a result of: • a birth defect; • an accidental injury; • a disease; or • a previous covered surgical procedure. Functional indications for surgical correction do not include psychological, psychiatric or emotional reasons. This plan covers the procedures listed below to treat functional impairments. • abdominal wall surgery including panniculectomy (other than an abdominoplasty); • blepharoplasty and ptosis repair; • gastric bypass or gastric banding; • nasal reconstruction and septorhinoplasty; • orthognathic surgery including mandibular and maxillary osteotomy; • reduction mammoplasty; • removal of breast implants; • removal or treatment of proliferative vascular lesions and hemangiomas; • treatment of varicose veins; or • gynecomastia.

  • Our Service The services that you have selected and the charges for those services are confirmed in Section 9 - Your Consent at the end of this agreement. We agree to provide the services selected and you agree to pay us for those services. Any advice or recommendation that we offer to you, will only be given after we have assessed your needs and considered your financial objectives and attitude to any risks that may be involved. We will also take into account any restrictions that you wish to place on the type of products you would be willing to consider.

  • Behavioral Health Services Behavioral health services include the evaluation, management, and treatment for a mental health or substance use disorder condition. For the purpose of this plan, substance use disorder does not include addiction to or abuse of tobacco and/or caffeine. Mental health or substance use disorders are those that are listed in the most updated volume of either: • the Diagnostic and Statistical Manual of Mental Disorders (DSM) published by the American Psychiatric Association; or • the International Classification of Disease Manual (ICD) published by the World Health Organization. This plan provides parity in benefits for behavioral healthcare services. Please see Section 10 for additional information regarding behavioral healthcare parity. This plan covers behavioral health services if you are inpatient at a general or specialty hospital. See Inpatient Services in Section 3 for additional information. This plan covers services at behavioral health residential treatment facilities, which provide: • clinical treatment; • medication evaluation management; and • 24-hour on site availability of health professional staff, as required by licensing regulations. This plan covers intermediate care services, which are facility-based programs that are: • more intensive than traditional outpatient services; • less intensive than 24-hour inpatient hospital or residential treatment facility services; and • used as a step down from a higher level of care; or • used a step-up from standard care level of care. Intermediate care services include the following: • Partial Hospital Program (PHP) – PHPs are structured and medically supervised day, evening, or nighttime treatment programs providing individualized treatment plans. A PHP typically runs for five hours a day, five days per week. • Intensive Outpatient Program (IOP) – An IOP provides substantial clinical support for patients who are either in transition from a higher level of care or at risk for admission to a higher level of care. An IOP typically runs for three hours per day, three days per week.

  • CLOUD SERVICE The Cloud Service offering, is described below and is specified in an Order Document for the selected entitled offerings. The Order Document will consist of the Quotation that is provided and the Proof of Entitlement (XxX) you will receive confirming the start date and term of the Cloud Services and when invoicing will commence.

  • Mental Health Services This agreement covers medically necessary services for the treatment of mental health disorders in a general or specialty hospital or outpatient facilities that are: • reviewed and approved by us; and • licensed under the laws of the State of Rhode Island or by the state in which the facility is located as a general or specialty hospital or outpatient facility. We review network and non-network programs, hospitals and inpatient facilities, and the specific services provided to decide whether a preauthorization, hospital or inpatient facility, or specific services rendered meets our program requirements, content and criteria. If our program content and criteria are not met, the services are not covered under this agreement. Our program content and criteria are defined below.

  • Electrical Service Electrical service for new construction or a renovated existing building shall be 480/277-volt, 3-phase, 4-wire or approved equal. Service shall be sized for HVAC and other mechanical system(s) loads, lighting, general building services, and dedicated computer based office equipment loads. 5 xxxxx per square foot shall be provided for lighting and general service receptacles. Size of neutral conductor of 3- phase circuits shall be twice that of phase conductor to accommodate potential harmonic currents associated with computer system electronic power supplies and fluorescent lighting fixtures electronic ballasts.
