Entire Agreement and Representations. This Lease contains the entire agreement and understanding between the parties and supersedes all prior discussions and agreements concerning the subject matter hereof. The Lessee acknowledges that this Lease has not been entered into in reliance wholly or partly on any statement or representation made by or on behalf of the Lessor except any such statement or representation that is expressly set out in this Lease and the Agreement for Lease.
Entire Agreement and Representations. This Agreement contains the entire agreement and understanding between Employer and Executive with respect to the subject matter hereof. No representations or warranties of any kind or nature relating to the Company or its several businesses, or relating to the Company’s assets, liabilities, operations, future plans or prospects have been made by or on behalf of Employer to Executive. This Agreement supersedes any prior agreement between the parties relating to the subject matter hereof.

Entire Agreement and Representations. The Seller and the Buyer respectively acknowledge that this Agreement constitutes the entire agreement between the Seller and the Buyer to the exclusion of any antecedent statement or representation whether oral written or implied or whether contained in any advertisement particulars or other matters issued or in any correspondence entered into by the Seller or its servants or agents and the Buyer hereby acknowledges that it has not entered into this Agreement in reliance upon any such statement or representation other than those which have been given by the Seller's Solicitors in a written reply whether to an enquiry made by the Buyer's or to any enquiry made by any other party where the replies have been addressed to the Buyer or relied upon by the Buyer Solicitors prior to the date of this Agreement
Entire Agreement and Representations. This Agreement reflects the entire agreement between Sosei and CombinatoRx, and the Agreement may be modified or altered only in writing. Each party represents and warrants to the other that it has the full power and authority to enter into this Agreement; that each signatory is duly empowered and authorized and that the Agreement is binding on each party.
Entire Agreement and Representations. (1) This Agreement represents the entire agreement between Interhost and the Customer and supersedes any previous agreement. Save for fraudulent misrepresentation any representation warranty or undertaking whether verbal or written, and any terms and conditions which the Customer has sought to impose by way of order form or any other reference to any terms and conditions are expressly excluded. No person other than a director of Interhost may authorise a variation of any term of this Agreement in any way and any variation must be agreed and signed for as such by both parties.
(2) The Customer confirms that in agreeing to the terms of this Agreement it has not relied on any representation (save as may be set out in this Agreement) and agrees it shall have no remedy in respect of any misrepresentation (save a fraudulent misrepresentation) which has not become a term of this Agreement.
Entire Agreement and Representations. 17.1. This Agreement together with any documents referred to in it (including any undertaking from the Candidate to the Company and any notice given by the Contractor and the Candidate to the Company in accordance with Regulation 32(9) of the Conduct Regulations) constitute the entire agreement and understanding between the Contractor and the Company and supersede any previous agreements, if any, between them relating to the Services and all such agreements still effective at the date of this Agreement, if any, shall without prejudice to the rights of the Company arising prior to the commencement date of this Agreement in respect of prior breaches by the Contractor or the Candidate of which the Company is not aware, be deemed to have been terminated by mutual consent with effect from the commencement date of this Agreement but so that nothing in this clause 17.1 shall operate to exclude or limit the liability of any party in respect of fraud.
17.2. The Contractor acknowledges that, in entering into this Agreement, it has not relied on any representations by the Company, the Contractor or the Candidate made before the signature of this Agreement other than those expressly set out in this Agreement.
Entire Agreement and Representations. This Agreement contains the entire agreement between the MINI Division and Dealer. Dealer acknowledges that no representation or statement has been made to it on behalf of the BMW Group, the MINI Division and/or any agents, representatives, or employees of either the BMW Group or the MINI Division that in any way tend to change or modify any of the terms or provisions of the Agreement or that in any manner prevents this Agreement from becoming effective. Dealer further acknowledges that there is no other agreement or understanding, except those specifically provided for in this Agreement, either oral or written, between Dealer and the BMW Group and/or the MINI Division affecting this Agreement or relating to the subject matter hereof.
Entire Agreement and Representations. 24.1 This document together with the Proposal shall supersede all previous documents or agreements (written or oral) relating to the subject matter of the Agreement including without limitation all documents proffered by the Customer and relating to the subject matter of the Agreement.
24.2 The Parties acknowledge that in and when entering into the Agreement they have not relied upon any representations other than those reduced to writing in the Agreement. The provisions of this clause 24.2 shall not apply to any fraudulent misrepresentation nor to any representation which are also within the ambit of clause 6.8 above.
