In these Terms. 1.1.1. references to persons includes individuals, bodies corporate (wherever incorporated), joint ventures, unincorporated associations and partnerships or any state body;
1.1.2. the headings are inserted for convenience only and do not affect the construction or interpretation of the Terms;
1.1.3. the use of the singular number shall be construed to include the plural, and the use of the plural the singular, and the use of any gender shall include all genders;
1.1.4. any reference to any Applicable Law or other enactment or statutory provision is a reference to it as it may have been, or may from time to time be amended, modified, consolidated or re-enacted;
1.1.5. a reference to any body shall, if that body is replaced by another organisation, be deemed to refer to that replacement organisation and if that body ceases to exist, be deemed to refer to the organisation which most or substantially serves the same purpose or functions as that body;
1.1.6. any phrase introduced by the words "including", "includes", "in particular", "for example" or similar shall be construed as illustrative and without limitation to the generality of the related general words;
1.1.7. any obligation not to do anything shall include an obligation not to suffer, permit or cause that thing to be done;
1.1.8. references to Clauses are to Clauses of these Terms or the applicable Schedule; and
1.1.9. The schedules (and all documents incorporated or referenced therein) (the “Schedules”) form part of these Terms
In these Terms. (a) a word denoting the singular includes the plural and vice versa; (b) a word denoting a gender includes each other gender; (c) a word denoting a natural person includes an entity and vice versa; and (d) a reference to a clause is a reference to a clause in this form. Headings are for ease of reference only and shall be ignored in construing these Terms.
In these Terms. 16.2.1 a day excludes weekends and gazetted public holiday in the location where an event occurs or an obligation falls due. Payment obligations are taken to fall due in Melbourne, Australia;
16.2.2 Headings and notes in italics are not binding.
In these Terms. 2.3.1 when we refer to a person, this includes any individual, body corporate, association, partnership, firm, trust, organisation, joint venture, government, local or municipal authority, governmental or supra-governmental agency or department, state or agency of state or any other entity;
2.3.2 when we refer to any Applicable Law or a statute or statutory provision, this includes (in the case of statutes) any subordinate legislation made under it, and any modifications, amendments, extensions, consolidations, re-enactments and/or replacements of that Applicable Law, statute, statutory provision and/or subordinate legislation which are in force from time to time;
2.3.3 any references that we make to the singular include the plural and vice versa;
2.3.4 any references that we make to any gender include every gender;
2.3.5 any references to a time of day are to Hong Kong time;
2.3.6 any words following the words include, includes, including, in particular or any similar words or expressions are for illustration or emphasis only and are not intended to limit the meaning of the words preceding them; and
2.3.7 any references to a “party” or to the “parties” means you and/or us as the context requires.
In these Terms. Agreement on Agriculture means the World Trade Organisation Agreement on Agriculture (AoA) which was implemented on 1 January 1995 and. part of Annex 1A to the WTO Agreement (as modified from time to time); Agreement on Subsidies and Countervailing Measures means the World Trade Organisation Agreement on Subsidies and Countervailing Measures (ASCM), which came into force in 1995; SCA means the Subsidy Control Act 2022 which received Royal Assent on 28 April 2022.
In these Terms. OR ELSEWERE TO THE CONTRARY AND TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
In these Terms. Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply to You. IN THESE JURISDICTIONS, NEWHOMEPAGE’S LIABILITY WILL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
In these Terms. (a) a person includes a natural person or a corporate or unincorporated body (whether or not having separate legal personality);
(b) appendices and schedules form part of the Agreement and shall have effect as if set out in full in the body of these Terms. Any reference to these Terms includes any appendices and schedules; and
(c) unless the context otherwise requires, words in the singular include the plural and vice versa; references to writing or written include e-mail.
In these Terms. (a) words denoting the singular include the plural and vice versa and words denoting any gender includes all genders;
(b) references to: (i) clauses are to clauses of these Terms and clause headings are for convenience only and shall not affect interpretation of these Terms; (ii) a statute or statutory provision is a reference to such statute or statutory provision as amended or re−enacted; and (iii) any phrase introduced by the terms including, include, in particular or any similar expression shall be construed as illustrative and shall not limit the sense of the words preceding those terms.
In these Terms. 3.1.1 References to clauses are to the clauses of these Terms;
3.1.2 References to paragraphs are to the paragraphs of Specific Terms;
3.1.3 Headings are for ease of reference only;
3.1.4 Wherever the words “including”, “include”, or “includes” or are used they shall be deemed to be followed by the words “without limitation” unless the context otherwise requires;
3.1.5 If there is any conflict or inconsistency between these Terms and Specific Terms in relation to particular Services, the Specific Terms shall have precedence for the relevant Services.
