Entire Agreement; Modifications; Amendments. (a) This Agreement embodies and constitutes the entire understanding between the parties with respect to the transactions contemplated herein, and all prior or contemporaneous agreements, understandings, representations and statements, oral or written, are merged into this Agreement. Except as expressly otherwise provided herein, neither this Agreement nor any provision hereof may be waived, modified, amended, discharged or terminated except by an instrument in writing signed by the party against which the enforcement of such waiver, modification, amendment, discharge or termination is sought, and then only to the extent set forth in such instrument.

This Agreement constitutes the entire agreement between the parties hereto and may not be modified or amended except as herein noted or in a written instrument executed by all parties hereto. Notwithstanding the foregoing, the parties to this Agreement acknowledge that the parties may execute a letter of intent regarding the resolution of certain matters in connection with the Fund's obligations under Section 1.F. of this Agreement.

This MSA, together with its attachments and exhibits, constitutes the entire agreement between the Parties and supersedes all previous agreements, promises, and representations, whether written or oral, between the Parties with respect to the subject matter of this MSA. If there is any conflict between the provisions of this MSA and the provisions of any exhibit or attachment, then the provisions of the SOW will govern. No modification, amendment, supplement to or waiver of this MSA or any of its provisions will be binding upon the Parties unless made in writing and duly signed by authorized representatives.

This Agreement, including the Exhibits attached hereto, sets forth the entire agreement and understanding of the Parties with respect to the sale and distribution of Products, the Licensed Products and pass-through-items in the Territory and supersedes all prior and contemporaneous agreements relating thereto, written or oral, between the Parties. No modification of or amendment to this Agreement, and no waiver of any rights under this Agreement shall be effective unless in writing signed by the Party to be charged. All Exhibits attached to this Agreement are incorporated into this Agreement by reference.
