Ethical Dealings. Supplier will be familiar and will strictly comply with all laws and regulations on bribery, corruption, and prohibited business practices. Supplier and its Affiliates have not and will not, for the purpose of influencing or inducing anyone to influence decisions in favor of Buyer or any of its Affiliates, offer, promise or make or agree to make, directly or indirectly, (a) any political contributions of any kind or any payment to or for the benefit of any public official, whether elected or appointed, (b) any payments for gifts, meals, travel or other value for a government employee or his/her family members or (c) any payments or gifts (of money or anything of value) to anyone. Buyer shall not reimburse Supplier for any such political contributions, payments or gifts.

Ethical Dealings. We expect Suppliers to compete fairly for our business, without paying or receiving bribes or kickbacks, or giving or receiving anything of value to secure an improper benefit or advantage, and avoiding all forms of corruption. This includes complying with the Foreign Corrupt Practices Act regardless of where in the world the Supplier is located and with the laws of the country in which the Supplier operates. We expect Suppliers to treat their employees with fairness, respect and dignity and to promote a work environment that is free of harassment, forced labor, corporal punishment or other forms of physical coercion.

Each party acknowledges that it will not offer, promise or make or agree to make any payments or gifts (of money or anything of value) directly or indirectly to anyone for the purpose of influencing or inducing anyone to influence decisions in favor of the other party. Without limiting any other provision of this Agreement, TSMC shall not engage in any illegal or unethical practices, including without limitation the Foreign Corrupt Practices Act of 1977 and any anti-boycott laws, as amended, and any implementing regulations. Each party shall indemnify and hold the other party harmless from and against any liabilities, damages, costs and expenses, including reasonably attorneys’ fees and costs, resulting from any of its breach of this Section 17.11.

Ethical Dealings. The Firm shall at all times act in accordance with the professional and ethical rules of the legal professions and shall adhere to ethical standards required of it by virtue of the professional nature of its business. The Parties shall:
a) timeously recognise and deal with potential conflicts of interest;
b) co-operate fully in the elimination of fraud and corruption within their spheres of control; and
c) protect the financial integrity of the Fund by being scrupulous with their use of the financial resources of the Fund, as these finances are derived from public sources, and are intended for the social betterment of the people of the Republic of South Africa.
