Evidence of Assignment. Any assignment of the Asset Interest (or any portion thereof) to any Person may be evidenced by such instrument(s) or document(s) as may be reasonably satisfactory to Purchaser, the Administrator and the assignee.
Evidence of Assignment. Within five (5) Business Days after effectiveness of any assignment, the Borrowers shall execute and deliver to the Lender Agent (a) for delivery to the Assignee, a new Note or, if the Assignee was already a holder of a Note immediately prior to such effectiveness, a replacement Note in the appropriate principal amount based on such Assignee’s Commitments after giving effect to such assignment; and (b) if the assigning Lender still holds any Commitment, for delivery to the assigning Lender, a replacement Note in the appropriate principal amount based on such Assignee’s Commitments after giving effect to such assignment. Each such Note shall be dated the effective date of such assignment.
Evidence of Assignment. Any assignment of any Lender’s rights and obligations hereunder, and the Advances (or any portion thereof) to any Person may be evidenced by an Assignment and Acceptance or such other instrument(s) or document(s) as may be satisfactory to the assigning Lender, the Borrower (solely to the extent the Borrower’s consent to such assignment is required under Section 9.01(a)) and the assignee.
Evidence of Assignment. Any assignment of any Lender’s rights and obligations hereunder, and the Loans (or any portion thereof) to any Person shall be evidenced by an Assignment and Acceptance. The Administrative Agent shall receive a fee in the amount of $3,500 payable by the assignee upon the effective date of each transfer or assignment (unless waived in writing in the sole discretion of the Administrative Agent) along with all “know your customer” documents requested by the Administrative Agent pursuant to anti-money laundering rules and regulations.
Evidence of Assignment. At the request of the Company, Employee agrees to sign and deliver to the Company, either during or subsequent to the Employment of the Employee, such other documents or instruments as the Company considers desirable to evidence the assignment to the Company of any and all rights of Employee, if any, in any Inventions and the Company's ownership of the Inventions. Employee further agrees as to all such Inventions to assist the Company as requested, either during or subsequent to the Employment of the Employee, in obtaining, registering, and from time to time enforcing in any country, the Company's rights to the Inventions, including without limitation the testifying in a suit or other proceeding involving any Invention. If such assistance is rendered by Employee subsequent to the Employment of the Employee with the Company, Employee shall be reimbursed for all reasonable expenses incurred and for any and all lost wages or salary related thereto.
Evidence of Assignment. Any assignment of the Commitment, the Note, the Certificates and the Assets Pool (or any portion thereof) to any Person may be evidenced by such instruments or documents as may be satisfactory to the Lender.

Any assignment of any interest in the Undivided Interest (or portion thereof) to any Person may be evidenced by an instrument of assignment in the form of Exhibit 12.04 or by such other instrument(s) or document(s) as may be satisfactory to the assigning Purchaser, the Administrative Agent and the assignee.
