Exchange of Know-How. Each Party shall keep the other Party regularly informed of any Joint Program Know-How it generates, or Program Know-How generated by it but owned by the other Party.

Exchange of Know-How. Takeda shall provide to Ovid, promptly following the Effective Date, and promptly during the Term upon such Takeda Know-How being obtained or generated by Takeda, at no additional cost or expense to Ovid, an electronic copy of all Takeda Know-How as is necessary to enable Ovid to perform its obligations under this Agreement and exercise its rights under this Agreement, to the extent such Takeda Know-How has not previously been provided hereunder. Ovid shall provide to Takeda, promptly during the Term, upon Ovid Know-How being obtained or generated by Ovid, at no additional cost or expense to Takeda, all such Ovid Know-How as is necessary to enable Takeda to perform its obligations and exercise its rights under this Agreement. Notwithstanding the foregoing and the definitions of Takeda Know-How and Ovid Know-How, neither Party shall have any obligation under this Section 4.7 or otherwise under this Agreement to transfer any Information of a Third Party Acquirer (or any its affiliates) to the other Party. Additionally, neither Party shall have any obligation under this Section 4.7 or otherwise under this Agreement to transfer any Information for use by the other Party that would obligate the transferring Party to pay any royalties, milestones or other consideration for use of such Information by the other Party unless and until the receiving Party agrees to pay such consideration.
Exchange of Know-How. Promptly following the Effective Date, Alnylam will make available to Cubist, at no cost or expense to Cubist, such Alnylam Know-How as is requested by Cubist in connection with Cubist’s Development efforts, including all data from any and all clinical trials and preclinical studies and non-clinical development work for Licensed Products that are in existence as of the Effective Date. During the Term, Alnylam shall promptly update Cubist as to all Alnylam Know-How that has not previously been provided under this Agreement, and shall provide to Cubist any such additional Alnylam Know-How promptly upon Cubist’s request.
Exchange of Know-How. During the Research Term, each Party shall make available to the other Party, at no cost or expense to such other Party, such Alnylam Know-How or Roche Know-How, as the case may be, as is requested by such other Party in connection with such other Party’s performance of its obligations under the Joint Research Plan or in connection with the identification, evaluation or selection of development candidates. Upon selection of the first development candidate under this Agreement and thereafter during the Term, each Party shall make available to the other Party, at no cost or expense to such other Party, such Alnylam Know-How or Roche Know-How, as the case may be, as is requested by such other Party in connection with the Discovery, Development or Commercialization of Licensed Products hereunder, including all data from any and all clinical trials and preclinical studies and non-clinical development work for Licensed Products that are in existence as of the completion of all activities under the Joint Research Plan. Upon selection of the first development candidate under this Agreement and thereafter during the Term, each Party shall promptly update the other Party as to Alnylam Know-How or Roche Know-How, as the case may be, that has not previously been provided to such other Party under this Agreement, and shall promptly provide to such other Party any such additional Alnylam Know-How or Roche Know-How, as the case may be, as may be reasonably requested by such other Party.
Exchange of Know-How. During the Term, each Party will, and will cause its Affiliates and Sublicensees, as applicable, to, without additional compensation and at such Party’s sole expense, disclose and make available to the other Party, in whatever form each such other Party may reasonably request, all Regulatory Documentation, all of its Background Know-How and any other Information and Inventions reasonably necessary for the Exploitation of any Collaboration Product.”
Exchange of Know-How. The Parties will exchange their know-how inasmuch as such exchange is required for the execution of the contracts and inasmuch as they can legally dispose of such know-how.

Exchange of Know-How. Scios and Xxxxxx intend to cooperate and exchange as required Scios Patents, Scios Know-How, Xxxxxx Patents and Xxxxxx Know-How which relate to or are required for the production of Product, all for the purpose and with the objective of completing the Fill and Finish Work in an expeditious and efficient manner. Such exchange shall include without limitation the disclosure by Xxxxxx of improvements relating to the manufacture of Product when performing Fill and Finish Work. This exchange is not intended to negate the parties’ obligations under Section 9 nor shall anything in this Section 7.1 be construed to modify the provisions of Section 10.3 hereof.

Exchange of Know-How. 2.1 The parties shall disclose and deliver to each other certain data, information and/or documents and materials related to the scope of the cooperation, in particular related to their respective products, technologies, know-how, trade secrets, marketing activities, business and product development and the like. Such information and materials and all other information and materials related to the joint cooperation shall hereinafter collectively be referred to as the "Confidential Information". The term "Disclosing Party" shall mean the party hereto disclosing Confidential Information. The term "Receiving Party" shall mean the party hereto receiving Confidential Information.
