Expiration of SARs. An SAR granted under the Plan shall expire upon the date determined by the Committee, in its sole discretion, and set forth in the Award Agreement. Notwithstanding the foregoing, the rules of Section 5.4 also shall apply to SARs.
Expiration of SARs. The Grantee may not exercise any SAR granted pursuant to this Award after the first to occur of the following events:
(a) The tenth anniversary of the Grant Date so long as the Grantee remains employed with the Company or a Successor through such date;
(b) The third anniversary of the date of the Grantee’s termination of employment with the Company or a Successor, if the Grantee’s employment terminates by reason of death or Permanent Disability;
(c) Immediately upon the date of the Grantee’s termination of employment by the Company or a Successor for Cause;
(d) One hundred and eighty (180) days after the date of the Grantee’s termination of employment by the Company or a Successor without Cause (for any reason other than as set forth in Section 3.2(b));
(e) One hundred and eighty (180) days after the date of the Grantee’s termination of employment with the Company or a Successor by the Grantee for Good Reason;
(f) The third anniversary of the date of the Grantee’s termination of employment with the Company or a Successor by the Grantee upon Retirement; or
(g) Sixty (60) days after the date of the Grantee’s termination of employment with the Company or a Successor by the Grantee without Good Reason (except due to Retirement, death or Permanent Disability). For the avoidance of doubt, for purposes of this Agreement, Grantee’s employment shall not be deemed to have terminated so long as Grantee remains employed by any Service Recipient.
Expiration of SARs. The SARs may not be exercised to any extent by anyone after the first to occur of the following events:
(a) The expiration date set forth in the Grant Notice;
(b) Except as the Administrator may otherwise approve, in the event of Participant’s Termination of Service by the Company or a Subsidiary without Good Cause, by Participant for Good Reason or by reason of Participant’s death or Disability, the expiration of one year from the date of Participant’s Termination of Service;
(c) Except as the Administrator may otherwise approve, immediately upon Participant’s Termination of Service by the Company or a Subsidiary for Good Cause; or
(d) Except as the Administrator may otherwise approve, the expiration of three months) from the date of Participant’s Termination of Service for any reason not described in Section 3.3(b) or 3.3(c).
Expiration of SARs. The SARs may not be exercised to any extent by anyone after the first to occur of the following events:
(a) The expiration date set forth in the Grant Notice;
(b) Except in the case of an Approved Retirement or as the Administrator may otherwise approve, the expiration of three months from the date of Participant’s Termination of Service for any reason.
Expiration of SARs. On the Expiry Date, any SAR granted hereunder that has not been exercised or otherwise forfeited and cancelled pursuant to the provisions hereof shall expire and be of no further force or effect whatsoever.
Expiration of SARs. The SARs may not be exercised after the first to occur of the following events but shall in no event be exercisable after the tenth anniversary of the Grant Date:
(a) If, prior to the date when the SARs first becomes exercisable, Director ceases to be a member of the Board for any reason, Director’s right to exercise the SARs shall terminate and all rights thereunder shall cease;
(b) If, on or after the date when the SARs first becomes exercisable, Director ceases to be a member of the Board for any reason other than death or Disability (as defined in Section 5.6), Director shall have the right, within three months after termination of service on the Board to exercise the SARs to the extent that they were exercisable on the date of Director’s termination, subject to any other limitation on the exercise of the SARs in effect on the date of exercise; or
(c) If Director ceases to be a member of the Board due to death or Disability, Director or the person or persons to whom the SARs shall have been transferred by will or the laws of descent and distribution shall have the right until the tenth anniversary of the Grant Date to exercise the SARs to the extent that it was exercisable and unexercised on the Director’s date of death or Disability, subject to any other limitation on exercise in effect on the date of exercise.
Expiration of SARs. Except as otherwise extended by the Board in accordance with Internal Revenue Code section 409A:
(a) If Grantee’s status as an employee or consultant of (i) the Company, (ii) an Affiliate, or (iii) a corporation (or parent or subsidiary corporation of such corporation) issuing or assuming an SAR in a transaction to which section 424(a) of the Code applies, is terminated for cause Grantee may exercise the rights that were available to Grantee at the time of such termination only within 10 days from the date of termination;
(b) If such status is terminated for reason other than for cause or by retirement at normal retirement age, Grantee’s rights hereunder may be exercised within three months from the date of termination.
(c) If Grantee’s employment is terminated because of disability (within the meaning of section 22(e)(3) of the Code), such rights may be exercised within 12 months from the date of termination.
(d) Upon the death of Grantee, his or her Designated Beneficiary shall have the right, at any time within 12 months after the date of death, to exercise in whole or in part any rights that were available to Grantee at the time of death.
(e) For purposes of this paragraph, if Grantee is on military leave, approved sick leave, or other bona fide leave of absence, his or her employment will be treated as continuing throughout the period of absence if (i) such period does not exceed 90 days or (ii), if longer, so long as Grantee’s right to reemployment is guaranteed either by statute or by written agreement with the Company; otherwise, Grantee’s employment will be deemed to have terminated for cause on the 91st day of such absence.
(f) Notwithstanding the foregoing provisions of this paragraph 4, no rights under this SAR may be exercised after the Expiration Date stated on the cover page to this Agreement.
Expiration of SARs. Except as provided in this Section 4.6, the SARs shall expire on the tenth (10th) anniversary of the Grant Date.
Expiration of SARs. Except as otherwise provided in Section 3.1(b) or (c) or otherwise determined by the Administrator or set forth in a written employment agreement between the Participant and the Company, the SARs may not be exercised except on the Expiration Date given the general, 100% cliff-vesting of the SARs herein. The SARs shall be automatically exercised to the extent of any value as of the Expiration Date if not previously vested and exercised on an accelerated basis hereunder and shall thereafter be deemed expired and canceled for all purposes.
Expiration of SARs. A SAR granted under the Plan shall expire on the date set forth in the SAR Award Agreement, which date shall be determined by the Board in its sole discretion. Unless otherwise specifically provided for in the SAR Award agreement, a Tandem SAR granted under the Plan shall be exercisable at such time or times and only to the extent that the related Option is exercisable. The Tandem SAR shall terminate and no longer be exercisable upon the termination or exercise of the related Options, except that Tandem SARs granted with respect to less than the full number of Shares covered by a related Option shall not be reduced until the exercise or termination of the related Option exceeds the number of Shares not covered by the SARs.
