Facilities; Storage Requirements. (a) Except as otherwise contemplated by Section 2.6(c) hereof, Parlex will not manufacture, package or store the Products anywhere other than at the Facilities; provided that Parlex may store materials utilized in the manufacturing and packaging of the Products in the facilities of the vendors of such materials. Parlex will perform all final assembly, test and packaging operations for the Products in Facilities that are wholly owned or leased by Parlex or its parent corporation, Parlex Corporation. Parlex may not subcontract final assembly, test or packaging of the Products to any other Person without the prior written consent of NeuroMetrix, which shall not be unreasonably withheld. Parlex will take all actions necessary to have fully functional production capability and capacity for the manufacture and packaging of the Products for NeuroMetrix in compliance with this Agreement by December 31, 2006 at alternative sites in addition to the Facilities located in Cranston, Rhode Island and Methuen, Massachusetts. (b) Parlex shall store all materials and Product in accordance with the Specifications in a clean and dry area, in facilities with insect and rodent pest controls to assure no contamination. Storage and handling of all materials and Product shall be in accordance with the provisions of all applicable Laws and the quality control programs and standards set forth in the Specifications. Materials utilized by Parlex in connection with the manufacturing, processing and packaging of the Products shall be used by Parlex on a first in, first out basis and shall not be used by Parlex beyond the shelf life required under applicable Laws or as designated in the Specifications.

Accordingly, Grantee must provide electronic and information resources and associated Product documentation and technical support that comply with the Accessibility Standards.

  • Maintenance Requirements The Contractor shall ensure and procure that at all times during the Maintenance Period, the Project Highway conforms to the maintenance requirements set forth in Schedule-E (the “Maintenance Requirements”).

  • Facility Requirements 1. Maintain wheelchair accessibility to program activities according to governing law, including the Americans With Disabilities Act (ADA), as applicable. 2. Provide service site(s) that will promote attainment of Contractor’s program objectives. Arrange the physical environment to support those activities. 3. Decrease program costs when possible by procuring items at no cost from County surplus stores and by accepting delivery of such items by County.

  • DATA ESCROW REQUIREMENTS Registry Operator will engage an independent entity to act as data escrow agent (“Escrow Agent”) for the provision of data escrow services related to the Registry Agreement. The following Technical Specifications set forth in Part A, and Legal Requirements set forth in Part B, will be included in any data escrow agreement between Registry Operator and the Escrow Agent, under which ICANN must be named a third-­‐party beneficiary. In addition to the following requirements, the data escrow agreement may contain other provisions that are not contradictory or intended to subvert the required terms provided below.

  • Federal Medicaid System Security Requirements Compliance Party shall provide a security plan, risk assessment, and security controls review document within three months of the start date of this Agreement (and update it annually thereafter) in order to support audit compliance with 45 CFR 95.621 subpart F, ADP System Security Requirements and Review Process.

The CONTRACTOR shall ensure that the CONTRACTOR'S employees or agents are experienced and fully qualified to engage in the activities and perform the services required under this Contract, and that all applicable licensing and operating requirements imposed or required under federal, state, or county law, and all applicable accreditation and other standards of quality generally accepted in the field of the activities of such employees and agents are complied with and satisfied.

  • E-Verify Requirements To the extent applicable under ARIZ. REV. STAT. § 41- 4401, the Contractor and its subcontractors warrant compliance with all federal immigration laws and regulations that relate to their employees and their compliance with the E-verify requirements under ARIZ. REV. STAT. § 23-214(A). Contractor’s or its subcontractor’s failure to comply with such warranty shall be deemed a material breach of this Agreement and may result in the termination of this Agreement by the City.
