Fail to Fulfill Duties. Fail to fulfill duties or conditions described in Section 4.1 (including any subsection) to the reasonable satisfaction of the Athletics Director. If University identifies conduct by Coach prohibited by this Section 4.2 (including any subsections), the Athletics Director or desigoee may impose remedial actions including, at the University's sole discretion, suspension, with or without compensation, and/or termination of employment If University suspends Coach, with or without compensation, Coach shall have the procedural right to a review and hearing related to such determination. If the University suspends Coachwithout compensation and it is determined that there was no violation ofthe terms in Section 4.2 of this Agreement, then University will pay Coach any and all compensation that was withheld during the suspension. Termination of Coach's employment shall be pursuant to Section 6.0 of this �greement.. This. Fail to Fulfill Duties. Negligently or intentionally fail to fulfill duties or conditions described in Section 4.1 to the reasonable satisfaction ofthe AD. If Coach is reasonably determined to be involved in any of the activities or arrangements contemplated by this Section 4.2, without Coach having obtained prior, written consentof the AD, UH may at its sole discretion, (a) suspendthe Coach,with or withoutpay, pendinga final decision about the matter, which shall be decided expeditiously and without delay, and/or (b) terminate the Coach's employment relationship pursuant to Section 5.0 of the Agreement. This section is intended to give UH the widest discretion permitted by applicable law (including constitutional and statutory provisions) to prohibit the conduct described in Sections 4.2.1 through 4.2.8 of this Agreement.

  • Normal Duties (a) Faculty members are accountable for 10 months of the year. The 10 months accountable time includes such activities as teaching, the counselling of students, curriculum/program development, professional development and participation on a variety of educational committees.

  • Professional Duties Professional duties defined in this Article identify the responsibilities performed by full-time faculty. Duties specific to individual programs shall be determined by the supervising administrator.

  • Additional Duties (a) In addition to the duties of the Administrator set forth above, the Administrator shall (i) perform all duties and obligations applicable to or required of the Issuer as set forth in Appendix A to the Sale and Servicing Agreement in accordance with the terms and conditions thereof, (ii) perform such calculations and shall prepare or shall cause the preparation by other appropriate persons of, and shall execute on behalf of the Issuer or the Owner Trustee, all such documents, reports, filings, instruments, certificates and opinions that it shall be the duty of the Issuer or the Owner Trustee to prepare, file or deliver pursuant to the Related Agreements or Section 5.04(a), (b), (c) or (d) of the Trust Agreement, and at the request of the Owner Trustee shall take all appropriate action that it is the duty of the Issuer or the Owner Trustee to take pursuant to the Related Agreement and perform such duties and obligations as required under the Asset Representations Review Agreement. In furtherance thereof, the Owner Trustee shall, on behalf of itself and of the Issuer, execute and deliver to the Administrator and to each successor Administrator appointed pursuant to the terms hereof, one or more powers of attorney substantially in the form of Exhibit A hereto, appointing the Administrator the attorney-in-fact of the Owner Trustee and the Issuer for the purpose of executing on behalf of the Owner Trustee and the Issuer all such documents, reports, filings, instruments, certificates and opinions. Subject to Section 5 of this Agreement, and in accordance with the directions of the Owner Trustee, the Administrator shall administer, perform or supervise the performance of such other activities in connection with the Collateral (including the Related Agreements) as are not covered by any of the foregoing provisions and as are expressly requested by the Owner Trustee and are reasonably within the capability of the Administrator. Such responsibilities shall include providing to the Depositor and the Indenture Trustee the monthly servicing report in an appropriate electronic form.

  • Authorization to Perform Services The Consultant is not authorized to perform any services or incur any costs whatsoever under the terms of this Agreement until receipt of a written Notice to Proceed from the City.

  • Extra Duties The Trustee shall be entitled to refuse to approve any Substituted Obligor if, pursuant to the law of the jurisdiction of incorporation of the Substituted Obligor, the assumption by the Substituted Obligor of its obligations hereunder imposes responsibilities on the Trustee over and above those which have been assumed under this Trust Deed.
