General Duties and Responsibilities. 1. Responsibilities under the General Conditions of the Contract for Construction: In addition to the responsibilities herein set forth, Consulting Engineer/Architect agrees to be responsible for those matters identified in the General Conditions as being responsibilities of the Consulting Engineer/Architect. Consulting Engineer/Architect specifically acknowledges receipt of a copy of the General Conditions and acceptance of the responsibilities as set forth therein.
General Duties and Responsibilities. As an officer of each of the EMPLOYERS, the EMPLOYEE shall perform the duties and responsibilities customary for such office to the best of his ability and in accordance with the policies established by the Boards of Directors of the EMPLOYERS and all applicable laws and regulations. The EMPLOYEE shall perform such other duties not inconsistent with his position as may be assigned to him from time to time by the Boards of Directors of the EMPLOYERS; provided, however, that the EMPLOYERS shall employ the EMPLOYEE during the TERM in a senior executive capacity without diminishment of the importance or prestige of his position.

During and throughout the Employment Term, Employee shall faithfully and diligently, to the best of his ability, serve as the President and Chief Executive Officer and a member of the Board of Directors of the Company, and in such additional management offices and capacities and with such additional titles and duties as shall be designated by the Company’s Board of Directors (the “Board”) during the Employment Term, shall have the authority and perform the duties and responsibilities customary for such offices, and shall have such other duties as may be assigned to him from time to time by the Board or by the Chairman of the Board of the Company (the “Chairman”). Employee shall perform his duties hereunder in accordance with the policies from time to time established and amended by the Company and in accordance with all applicable laws and regulations. Employee shall use his best efforts to promote the best interests of the Company. Employee shall always be subject to the direction, approval and control of the Board and the Chairman in the performance of his duties. Employee acknowledges and agrees that he may be required by the Company, without additional compensation, to perform services for any other entity controlling, controlled by, under common control with or otherwise affiliated with, the Company (any such entity hereinafter referred to as an “Affiliate”), and to accept such office or position with any Affiliate as the Board may reasonably require, including but not limited to service as an officer and/or director of an Affiliate.

Subject to the direction of the Board of Directors of the EMPLOYER, the EMPLOYEE shall have responsibility for the general management and control of the business and affairs of the EMPLOYER and shall perform all duties and shall have all powers which are commonly incident to the office of President and Chief Executive Officer or which, consistent therewith, are delegated to him by the Board of Directors. Such duties shall include, but not be limited to, (1) managing the day-to-day operations of the EMPLOYER, (2) managing the efforts of the EMPLOYER to comply with applicable laws and regulations, (3) marketing of the EMPLOYER and its services, (4) supervising other employees of the EMPLOYER, (5) providing prompt and accurate reports to the Board of Directors of the EMPLOYER regarding the affairs and conditions of the EMPLOYER, and (6) making recommendations to the Board of Directors of the EMPLOYER concerning the strategies, capital structure, tactics, and general operations of the EMPLOYER.
General Duties and Responsibilities. The EXECUTIVE shall serve as the President and Chief Operating Officer of the COMPANY. Subject to the direction of the Board of Directors of the COMPANY and such EXECUTIVE'S manager, the EXECUTIVE shall perform all duties and shall have all powers which are commonly incident to the office of President and Chief Operating Officer or which, consistent therewith, are delegated to him by the Board of Directors.
General Duties and Responsibilities. The EXECUTIVE shall serve as the Senior Vice President and Treasurer of the COMPANY. Subject to the direction of the Board of Directors of the COMPANY and such EXECUTIVE'S manager, the EXECUTIVE shall perform all duties and shall have all powers which are commonly incident to the office of Senior Vice President and Treasurer or which, consistent therewith, are delegated to him by the Board of Directors.
General Duties and Responsibilities. The Executive shall perform the duties and responsibilities customary for the Executive’s position to the best of the Executive’s ability and in accordance with the policies established by the Corporation’s Board of Directors (the “Board”) and all applicable laws and regulations. The Executive shall perform such other duties not inconsistent with the Executive’s position as may be assigned from time to time by the Board.
General Duties and Responsibilities. In his/her position as Athletics Director, he/she is responsible for the duties normally associated with an Athletics Director at a Division ___ university including: maintaining a high level of leadership, having a strong commitment to the University’s expectations for an athletics program run with integrity, student-athlete academic success and progress to graduation, high athletic achievement, financial solvency, student-athlete conduct and welfare, compliance with the Governing Athletics Rules and University Rules, personnel supervision and evaluation, scheduling assistance, promotions, public relations, development activities and the overall effective performance of the Program’s student-athletes and coaching staff. The Athletics Director shall devote his/her full business time and his/her best efforts to the performance of his/her duties under this Agreement, and shall perform them faithfully, diligently and completely.

Subject to the direction of the Board of Directors, the EMPLOYEE shall perform all duties and shall have all powers which are commonly incident to the office of President/Chief Executive Officer or which, consistent therewith, are delegated to him by the Board of Directors.
General Duties and Responsibilities. The EMPLOYEE shall serve as the Chief Financial Officer of the EMPLOYERS. Subject to the direction of the Boards of Directors of the EMPLOYERS, the EMPLOYEE shall perform all duties and shall have all powers which are commonly incident to the office of Chief Financial Officer or which, consistent therewith, are delegated to her by the Board of Directors. Such duties may include, but shall not be limited to, assisting in the development of policies and strategic objectives pertaining to fiscal control and operating results, directing and coordinating the investment, accounting and controlling activities of the EMPLOYERS, and preparation of financial reports.
