Fees for Early Termination of Managed Broadband Services. Customer shall be liable for Early Termination Fees for terminating the MBB Services at any Site for which they have been ordered prior to the end of the Initial Site Term. The “Managed Broadband Services Early Termination Fees” shall be calculated as follows: an amount equal to: (i) 100% of the monthly recurring charges for the remaining number of months (or portions thereof) under the then current Site Term (including the remaining portion of any amortized CPE); plus (ii) any and all outstanding funds due to NuArx at the time of termination, including, but not limited to, rendered MBB Service, hardware and installation fees, and actual expenses incurred by NuArx, but not previously recouped, to costs to activate or terminate MBB Services. NuArx may modify, suspend and/or terminate the MBB Services immediately, and/or terminate this Agreement without liability (provided NuArx will use reasonable efforts to provide as much advance notice as possible under the circumstances), (a) if Customer fails to comply with NuArx’s Terms or any third party provider’s Moderation of Use Policy, AUP or any applicable foreign, federal, state or local law or regulation applicable to Customer’s use of the MBB Service; (b) if Customer or its end users commit any illegal acts as determined by NuArx in the exercise of its reasonable business judgment in the use of the MBB Service or otherwise relating to the subject matter of this Agreement; (c) if any regulatory activity prohibits, restricts or otherwise prevents NuArx from furnishing the MBB Service; and/or (d) any material rate, charge or term of the MBB Service is substantially changed by a legitimate regulatory body, governmental authority, or by order of the highest court of competent jurisdiction to which the matter is appealed.

  • Leave of Absence for Employees Who Serve as Local Coordinators for the Ontario Nurses' Association An employee who serves as Local Coordinator for the Ontario Nurses' Association shall be granted leave of absence without pay up to a total of thirty-five (35) days annually. Leave of absence for Local Coordinators for the Ontario Nurses' Association will be separate from the Union leave provided in (a) above.

  • Availability of Verizon Telecommunications Services 3.1 Verizon will provide a Verizon Telecommunications Service to PCS for resale pursuant to this Attachment where and to the same extent, but only where and to the same extent, that such Verizon Telecommunications Service is provided to Verizon’s Customers.

No more frequently than once per month, PSP shall submit a Pay Application to TFC for services performed and reasonable and necessary costs and expenses incurred through the last day of the previous month. Any reimbursable expenses, if allowed, shall be in accordance with Section 4.6 of the Agreement.
