Illegal Acts Sample Clauses

Illegal Acts. No provision of this Indenture or any amendment or supplement hereto shall be deemed to impose any duty or obligation on the Indenture Trustee to do any act in the performance of its duties hereunder or to exercise any right, power, duty or obligation conferred or imposed on it, which under any present or future law shall be unlawful, or which shall be beyond the corporate powers, authorization or qualification of the Indenture Trustee.

Illegal Acts. Pursuant to Sec. 13-1-191, N.M.S.A. 1978 and the criminal laws referred to therein, it is unlawful for any contractor to engage in bribery, offer gratuities with the intent to solicit business, or offer or accept kickbacks in connection to any transaction governed by the Procurement Code. Any such acts also constitute breaches of this Contract.

Illegal Acts. Irrespective of anything contained herein which could be interpreted to the contrary, no provision of this Agreement or any amendment or supplement hereto shall be deemed to impose any duty or obligation on ASFC to perform any act in the exercise of any right, duty or obligation which under present or future law shall be unlawful, or which shall be beyond the corporate powers, authorization or qualifications of ASFC.

Illegal Acts. The Company shall not require or request that the Executive perform, directly or indirectly, any act of fraud, embezzlement, theft, or other illegal act in connection with the Executive's duties or in the course of the Executive's employment with the Company.

Illegal Acts. Notwithstanding anything else herein contained, the Agent may refrain without liability from doing anything that would in its opinion be contrary to any law of any state or jurisdiction (including but not limited to the United States of America or any jurisdiction forming a part of it, and England & Wales) or any directive or regulation of any agency of any such state or jurisdiction and may without liability do anything which is, in its opinion, necessary to comply with any such law, directive or regulation.

Illegal Acts. To the Knowledge of Seller, none of the Company nor any of its Subsidiaries has committed any criminal or illegal act which would reasonably be expected to have, individually or in the aggregate, a Company Material Adverse Effect.

Illegal Acts. To indemnify the Indemnitee on account of any Proceeding in which either judgment is rendered against Indemnitee or an admission, plea of nolo contendere or an equivalent thereto is entered by Indemnitee, in either case for violation of any statute, regulation or other law to which Indemnitee is subject as a result of serving the Company or a Subsidiary or Affiliate of the Company as an Indemnifiable Person.

Illegal Acts. During the life of this Agreement or while negotiations for a further Agreement are in progress there shall be no strikes or stoppage of work on the part of members of the Union, nor any lockout on the part of the Company. The Union reserves to its members the right to refuse to execute any work coming from or destined for any other employer or publication which has been declared by the Union to be unfair.

Illegal Acts. The Company shall not use the Project Facilities or any parts thereof or permit within its knowledge the same to be used by any of its sublessees, concessionaires, tenants, officers, agents or employees for any illegal purposes.
