Illegal Acts. No provision of this Indenture or any amendment or supplement hereto shall be deemed to impose any duty or obligation on the Indenture Trustee to do any act in the performance of its duties hereunder or to exercise any right, power, duty or obligation conferred or imposed on it, which under any present or future law shall be unlawful, or which shall be beyond the corporate powers, authorization or qualification of the Indenture Trustee.
Illegal Acts. Pursuant to Sec. 13-1-191, N.M.S.A. 1978 (as amended), it shall be unlawful for any CONTRACTOR to engage in bribery, offer gratuities with the intent to solicit business, or offer or accept kickbacks of any kind. All other similar act(s) of bribes, gratuities and/or kickbacks are likewise hereby prohibited.
Illegal Acts. Irrespective of anything contained herein which could be interpreted to the contrary, no provision of this Agreement or any amendment or supplement hereto shall be deemed to impose any duty or obligation on ASFC to perform any act in the exercise of any right, duty or obligation which under present or future law shall be unlawful, or which shall be beyond the corporate powers, authorization or qualifications of ASFC.
Illegal Acts. The Company shall not require or request that the Executive perform, directly or indirectly, any act of fraud, embezzlement, theft, or other illegal act in connection with the Executive's duties or in the course of the Executive's employment with the Company.
Illegal Acts. To the Knowledge of Seller, none of the Companies has committed any criminal or illegal act which would reasonably be expected to have, individually or in the aggregate, a Companies Material Adverse Effect.
Illegal Acts. Notwithstanding anything else herein contained, the Agents may refrain without liability from doing anything that would or might in its opinion be contrary to any law of any state or jurisdiction (including but not limited to the United States of America or any jurisdiction forming a part of it and England & Wales) or any directive or regulation of any agency of any such state or jurisdiction and may without liability do anything which is, in its opinion, necessary to comply with any such law, directive or regulation.
Illegal Acts. 13.01 Drivers shall not be required by the Company to contravene any municipal by-law in the performance of their duties. The Company shall not be required to contravene any municipal by-law in the operation of its business.
13.02 Drivers shall not be required by the Company to contravene any federal or provincial law or regulation in the performance of their duties.
Illegal Acts. A. No business entity or employer may knowingly employ, hire for employment, or continue to employ an unauthorized alien to perform work within the municipality.
B. Accordingly, if the amount to be paid pursuant to this contract or grant exceeds five thousand dollars by the municipality the contracting or grant recipient business entity shall, as a condition of the award of contract or grant, by sworn affidavit and provision of documentation, affirm its enrollment and participation in a federal work authorization program with respect to the employees working in connection with the contracted services. Every such business entity shall also sign an affidavit affirming that it does not knowingly employ any person who is an unauthorized alien in connection with the contracted services. No such business entity or employer shall violate subsection 2A of this section.
C. The affidavit shall be approved as to form by the municipal attorney.
D. An employer may enroll and participate in a federal work authorization program and shall verify the employment eligibility of every employee in the employer's hire whose employment commences after the employer enrolls in a federal work authorization program. The employer shall retain a copy of the dated verification report received from The OWNER reserves the right to request additional work, and changed or unforeseen conditions may require changes and work beyond the scope of this agreement. In this event, a supplement to this agreement shall be executed and submitted for the approval of the OWNER prior to performing the additional or changed work or incurring any additional cost thereof. Any change in compensation or schedule will be specified in the supplement. Illegal Acts. At the option of the Deputy Receiver, effective immediately upon the delivery of written notice to Contractor, if Contractor commits any substantial and Material illegal or fraudulent act in connection with this Agreement.
Illegal Acts. By signing this Agreement, You certify that You have not committed any illegal acts against the Company, including, but not limited to, fraud, theft or damage to Company property, whether tangible or intangible. In the event that the Company discovers that You have falsely certified that You have not committed any illegal acts against the Company, the Company reserves the right to revoke the retention bonus payments provided for in the Retention Agreement.
