Filing of Final Order Sample Clauses

Filing of Final Order. As soon as possible after receipt of the Final Order, the Parties will file with the Registrar a copy of the Final Order and such other records and documentation as the Registrar may require pursuant to the BCBCA in respect of the Arrangement.

Filing of Final Order. On the sixth Business Day after the later of the date the GenSci Shareholders approve the Arrangement and the effective date of the Bankruptcy Plan, GenSci shall send a certified copy of the Final Order and Plan of Arrangement to the Registrar for filing pursuant to subsection 252 of theCompany Act.

Filing of Final Order. Subject to the rights of termination contained in Article 7 hereof, upon the Rubicon Shareholders and the Africo Shareholders each approving the Arrangement by Special Resolution in accordance with the provisions of the Interim Order and the BCBCA, the Applicants obtaining the Final Order and the other conditions contained in Article 5 hereof being satisfied or waived, Rubicon, Paragon, CopperCo and Africo shall send a copy of the Final Order together with such other documents as may be required by the Registrar to be filed pursuant to sections 288 to 299 of the BCBCA in order to make the Arrangement effective on the Effective Date. Upon the Arrangement becoming effective, Rubicon, Paragon, CopperCo and Africo shall exchange such other documents as may be necessary or desirable in connection with the completion of the transactions contemplated by this Agreement and the Plan of Arrangement.

Filing of Final Order. The Borrowers shall, within sixty (60) days after the Closing Date, file a copy of the Final Order in the real property records where any domestic owned Real Property is located." Filing of Final Order. Subject to the rights of termination contained in Article 6 upon the Silver Shareholders approving the Arrangement Resolution in accordance with the provisions of the Interim Order and the BCBCA, Silver obtaining the Final Order and the other conditions contained in Article 5 being complied with or waived, Silver on its behalf and on behalf of SpinCo will file with the Registrar: (a) the records and information required by the Registrar pursuant to the Arrangement Provisions; and (b) a copy of the Final Order.

Filing of Final Order. Subject to the rights of termination contained in Section 6 hereof, upon the Pursuit Shareholders approving the Arrangement by special resolution in accordance with the provisions of the Act, Pursuit obtaining the Final Order and the other conditions contained in Section 5 hereof being complied with, Pursuit shall file certified copies of the Final Order and this Agreement with the Director pursuant to Section 183 of the Act, together with such other documents as may be required in order to effect the Arrangement and shall request that such certified copy of the Final Order be accepted for filing by the Director. Upon such filing and issuance by the Director of certified copies of such documents giving effect to the Arrangement pursuant to Section 183 of the Act, Nevoro and Pursuit shall exchange such other documents as may be necessary or desirable in connection with the completion of the transactions contemplated by this Agreement and the Plan of Arrangement.

Filing of Final Order. After the Final Order is issued by the Court, and immediately prior to the Effective Time, a certified copy of the Final Order and Articles of Arrangement shall be sent to the Director pursuant to subsection 183(1) of the OBCA with a request that the Director endorse the Certificate of Arrangement thereon. The Corporation shall promptly advise the other Parties forthwith after the Corporation has obtained the Certificate of Arrangement.

Filing of Final Order. Upon the Shareholders approving the --------------------- Arrangement by special resolution in accordance with the provisions of the Interim Order and the BCCA, Abstract obtaining the Final Order and the other conditions contained in Article 6 hereof being complied with or waived, Abstract shall file a certified copy of the Final Order with the Registrar pursuant to subsection 252(3) of the BCCA on its behalf and on behalf of AMI and Newco together with such other documents as may be required in order to effect the Arrangement and shall request that such certified copy of the Final Order be accepted for filing by the Registrar. Upon such filing by the Registrar, the documents held in escrow in accordance with section 6.2 hereof shall be automatically released and the parties shall exchange such other documents as may be necessary or desirable in connection with the completion of the transactions contemplated by this Agreement and the Plan of Arrangement.

Filing of Final Order. Subject to the rights of termination contained in Article 6 hereof, upon the Securityholders approving the Arrangement by Special Resolution in accordance with the provisions of the Interim Order and the BCBCA, IMA obtaining the Final Order and the other conditions contained in Article 5 hereof being satisfied or waived, IMA, IMA Holdco and Golden Arrow shall send a copy of the Final Order together with such other documents as may be required by the Registrar to be filed pursuant to sections 288 to 299 of the BCBCA in order to make the Arrangement effective on the Effective Date. Upon the Arrangement becoming effective, IMA, IMA Holdco and Golden Arrow shall exchange such other documents as may be necessary or desirable in connection with the completion of the transactions contemplated by this Agreement and the Plan of Arrangement.

Filing of Final Order. On the third Business Day after the Shareholder Approvals, Bonanza by its counsel shall send a certified copy of the Final Order and Plan of Arrangement to the Registrar for filing pursuant to Division 5 of the BCBCA.
