Final Invoice and Payment. Upon completion of the Services under this Agreement, Consultant shall submit its final invoice to State identifying it as the final invoice. Upon receipt of final invoice and determination by State that the invoice and Progress Report adequately substantiate the Services provided, and the Services were completed in accordance with this Agreement, State will pay Consultant. The acceptance by Consultant of the final payment will constitute and operate as a release to State for all claims and liability to Consultant, its representatives, and assigns, for any and all things done, furnished, or relating to the Services rendered by or in connection with this Agreement or any part thereof.

Final Invoice and Payment. Any adjustment which may be necessary as a result of the outcome of the analysis of the Official Samples shall be embodied in a final invoice. Payment by Buyer of the total amount due, if any, on the final invoice shall be effected in same [CONFIDENTIAL TREATMENT REQUESTED] manner as specified in Article VIII.A above. In the event the final invoice reflects an amount due from QIT to Buyer, QIT shall remit the appropriate amount to Buyer by telegraphic transfer within thirty (30) days of the date of the final invoice.
