The Fishkill clause is a contractual provision that excuses a party from performing its obligations if performance is rendered impossible due to the destruction of the subject matter or the means of performance, through no fault of either party. For example, if a factory that is essential to fulfilling a contract is destroyed by fire, the party responsible for production may be relieved from liability for non-performance. This clause serves to allocate risk and provide clarity in situations where unforeseen events make contractual obligations impossible to fulfill, protecting both parties from liability in such circumstances.
