FIXED HOSTING AND SUPPORT FEE CHANGES. (a) In the event that either (i) the United States Department of Justice or the Department of Transportation initiate formal proceedings against Orbitz that result in the entry of a final, non-appealable judgment, or (ii) Orbitz enters into an agreement or consent decree with either such Department, that prohibits or restricts Orbitz' operation of its online booking site and such prohibition or restriction is reasonably expected to impact Orbitz' ability to host the Orbitz Software as contemplated by this Agreement, then AA will have the option to host, or engage a third party to host, the Orbitz Software without changing the other obligations of Orbitz set forth herein. In such event, the annual Fixed Hosting and Support Fee will be reduced by the cost incurred by AA to host, and establish and maintain the connectivity required to host, the Orbitz Software for each year (or portion thereof) remaining in the Term.

  • Maintenance and Support Services Distributor shall provide Maintenance and Support Services to all of its Customers of Licensed Software as set forth in Sections 3.4(a) and 3.4(b) below. Distributor may require Customers to provide the own First-Line Support: however, in no event shall Siebel be responsible for First-Line or Second-Line Support. Subject to Distributor's payment of the Maintenance Fees set forth in EXHIBIT A Siebel shall provide Third-Line Support to Distributor in accordance with Siebel's then current Maintenance and Support Services Policy. Distributor shall be responsible for all support related to the Value Added Offering.

  • Service Level Agreement Subject to the terms and conditions of this Agreement, Bank agrees to perform the custody services provided for under this Agreement in a manner that meets or exceeds any service levels as may be agreed upon by the parties from time to time in a written document that is executed by both parties on or after the date of this Agreement, unless that written document specifically states that it is not contractually binding. For the avoidance of doubt, Bank’s Service Directory shall not be deemed to be such a written document.

  • Training and Support Distributor shall train and support its personnel or subcontractors for the satisfactory completion of its obligations under this Agreement. Supplier will assist in training by furnishing Distributor with English training literature. Supplier may, at his sole discretion, provide Distributor with his own personnel for training.

  • Maintenance and Support Licensee is solely responsible for providing all maintenance and support to its customers of the Licensed Products. Licensor has, and shall have, no obligation to provide any maintenance or support to Licensee or any of Licensee’s customers with respect to any Technology and/or Licensed Products.

  • Website Hosting and Notice Fee (Expense Allocation). The Distributor (and/or the Trust) shall bear the costs of posting, maintaining and managing the Fund Documents on the website hosted by the Company and the costs of preparing and mailing notice of the availability of the Fund’s Reports to Contract Owners (the notices required by paragraph (c) of Rule 30e-3) through the payment of a semi-annual Website Hosting and Notice Fee to the Company.

  • SERVICE LEVEL DESCRIPTION The Fund Accounting Agreement is hereby amended by deleting the Service Level Description attached thereto and replacing it in its entirety with the Service Level Description attached hereto.

  • Support Services Other than the assistance provided in the Information, the BNPP Entities do not offer any support services in connection with the Software.

  • REMOTE ACCESS SERVICES ADDENDUM The Custodian and each Fund agree to be bound by the terms of the Remote Access Services Addendum hereto.
